BBVA BANCO FRANCES S.A. is pleased to inform that on March 31, 2011 it has signed a Share Purchase Agreement with ORIGENES COMPAÑÍA DE SEGUROS DE RETIRO S.A., CMS DE ARGENTINA S.A. and GRUPO DOLPHIN HOLDING S.A., in connection with all of its shareholdings in COMPAÑÍA DE SEGUROS DE RETIRO S.A. The latter represent 66.21% of this company’s share capital.

Total transaction price has been fixed at Ps. $ 380,000,000. (Argentine Pesos three hundred and eighty million), 66.21% of which are for BBVA Banco Francés S.A.

This transaction will be closed upon receiving the pertinent authorization from the Argentine Insurance Superintendence (Superintendencia de Seguros de la Nación) and the completion of all other terms and conditions of the transfer.
