<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Brookdale Senior Living Inc. (the &#147;Company&#148;) held a special meeting of stockholders (the &#147;Special Meeting&#148;) on
July&nbsp;10, 2014 in Brentwood, Tennessee, in connection with the Agreement and Plan of Merger, dated as of February&nbsp;20, 2014 (the &#147;Merger Agreement&#148;), by and among the Company, Broadway Merger Sub Corporation and Emeritus
Corporation (&#147;Emeritus&#148;). </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Proxies to the Special Meeting were solicited pursuant to Regulation 14A under the Securities
Exchange Act of 1934, as amended. Set forth below are the final voting results for each of the proposals submitted to a vote of the stockholders. For more information on the proposals, see the joint proxy statement/prospectus included in the
