INNOSPEC REPORTS SECOND QUARTER FINANCIAL RESULTS

GAAP Diluted EPS $0.48 vs. $0.12

Excluding Special Items, Diluted EPS $0.66 vs. $0.32

Newark, Del. – August 3, 2010 – Innospec Inc. (NASDAQ: IOSP) today announced its financial results for the second quarter ended June 30, 2010.

Total net sales for the quarter were $168.4 million, a 23% increase from $137.0 million in the corresponding period last year. Net income was $12.0 million, or $0.48 per diluted share, compared with $3.0 million, or $0.12 per diluted share, a year ago. EBITDA (earnings before interest, taxes, depreciation, amortization and impairment) for the quarter was $17.8 million, up 65% from $10.8 million a year ago.

Results for the second quarter include $7.7 million, or $0.31 per diluted share, in after-tax foreign exchange losses, which were partly offset by a $5.0 million, or $0.20 per diluted share, adjustment to income tax provisions. The results also include several other special items, which are summarized in the table below. For the second quarter of 2010, all these items had a combined negative impact on net income of $4.4 million, or $0.18 per diluted share; a year ago, similar items reduced net income by $5.0 million, or $0.20 per diluted share. Excluding these items, diluted earnings per share for the second quarter of 2010 were $0.66, more than double the $0.32 reported a year ago.

EBITDA and net income excluding special items, and related per share amounts, are non-GAAP financial measures that are defined and reconciled with GAAP results herein and in the schedules below.

For the first six months of 2010, total revenues of $331.9 million increased 16% from $285.1 million in the corresponding period last year. Net income for the first half was $19.4 million, or $0.78 per diluted share, compared with $9.4 million, or $0.38 per diluted share, a year ago. Excluding special items, diluted earnings per share for the first six months of 2010 were $1.33, up 34% from $0.99 a year ago. EBITDA for the first half of 2010 was $33.2 million, a 24% increase from $26.8 million in last year’s first half.


“Innospec’s second quarter operating results were very strong, with impressive double-digit increases in sales and operating income across all three business segments,” said Patrick Williams, President and Chief Executive Officer. “Fuel Specialties again faced a challenging industry environment, but continued to outperform its markets thanks to its innovative product development programs and aggressive approach to meeting customers’ needs. Results in Active Chemicals continued to improve despite tougher comparisons, while Octane Additives’ performance has been much better than we expected.”

Net sales in Fuel Specialties for the second quarter were $104.2 million, up 13% from $92.1 million in last year’s second quarter. By region, sales increased 7% in the Americas, 6% in the Europe, Middle East and Africa (EMEA) region, and 90% in the Asia-Pacific region. The segment’s gross margin was 31.1%, compared with 32.4% a year ago. Its operating income for the quarter was $17.1 million, up 21% from $14.1 million a year ago.

In Active Chemicals, net sales were $38.1 million for the quarter, up 20% from $31.8 million a year ago. By region, sales increased 30% in the Americas, 15% in the EMEA region, and 5% in the Asia-Pacific region. Active Chemicals’ gross margin was 21.8% for the quarter, compared with 22.0% a year ago. The segment’s operating income was $3.6 million, up 29% from $2.8 million in last year’s second quarter.

Net sales in Octane Additives for the quarter were $26.1 million, nearly double the $13.1 million a year ago. The segment’s gross margin was 53.6%, compared with 30.5% a year ago. Operating income for the quarter was $11.6 million, compared with a $3.6 million operating loss a year ago (which included $5.9 million in expenses and accruals related to the United Nations Oil for Food Program and FCPA investigations).

Corporate costs for the quarter were $4.8 million, unchanged from a year ago. Innospec incurred a $2.1 million pre-tax charge related to its pension plan, compared with a $1.5 million charge a year ago. The Company also recorded after-tax foreign exchange losses of $7.7 million in the second quarter, compared with a $0.3 million gain a year ago. The effective tax rate for the quarter was 7.0%, compared to 36.2% in last year’s second quarter. Excluding the positive tax adjustment in this year’s second quarter, the current year effective tax rate is 26.2%.

Net cash generated from operations was $12.0 million for the quarter, driven primarily by continued strong operating income. As of June 30, 2010, Innospec had $77.0 million in cash and cash equivalents, $30.0 million more than its total debt of $47.0 million. The Company continues to expect cash outflows in future quarters based on the need to rebuild working capital, increased capital expenditures, and the timing of other cash flows.

During the second quarter, Innospec reduced its pension liability related to its United Kingdom defined benefit pension plan by $19.4 million from the first quarter level. The decrease predominantly reflects an amendment to the plan in the quarter to reduce the future liability as at June 30, 2010.

Use of Non-GAAP Financial Measures

The information presented in this press release includes financial measures that are not calculated or presented in accordance with Generally Accepted Accounting Principles in the United States (GAAP). These non-GAAP financial measures comprise EBITDA and net income excluding special items, and related per share amounts. EBITDA is net income per our consolidated financial statements adjusted for the exclusion of charges for interest expense (net), income taxes, depreciation, amortization and impairment of Octane Additives business goodwill. Net income excluding special items is net income per our consolidated financial statements adjusted for the exclusion of charges for foreign exchange losses/(gains), adjustment of income tax provisions, pension charge, restructuring charge and OFFP/FCPA legal and professional expenses. Reconciliations of these non-GAAP financial measures to their most directly comparable GAAP financial measures are provided herein and in the schedules below. The Company believes that such non-GAAP financial measures provide useful information to investors and may assist them in evaluating the Company’s underlying performance and identifying operating trends. In addition, management uses these non-GAAP


financial measures internally to allocate resources and evaluate the performance of the Company’s operations. While the Company believes that such measures are useful in evaluating the Company’s performance, investors should not consider them to be a substitute for financial measures prepared in accordance with GAAP. In addition, these non-GAAP financial measures may differ from similarly-titled non-GAAP financial measures used by other companies and do not provide a comparable view of the Company’s performance relative to other companies in similar industries. Management believes the most directly comparable GAAP financial measure is GAAP net income and has provided a reconciliation of EBITDA and net income excluding special items, and related per share amounts, to GAAP net income herein and in the schedules below.
