issued a press release announcing the launch of its offering (the &#147;Offering&#148;), subject to market and other conditions, of $300&nbsp;million of its Senior Notes due 2025 (the &#147;Senior Notes&#148;). The Offering will be unregistered and
is being conducted pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended (the &#147;Securities Act&#148;). </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The Company intends to use a portion of the net proceeds from the Offering to repay all outstanding debt under its revolving credit facility,
and to the extent not used for the repayment of outstanding debt under its revolving credit facility, the Company intends to use the remainder of the net proceeds from the Offering for general corporate purposes, which may include among other

single-family homes, townhomes and flats in select U.S. markets, today announced that it intends to offer, subject to market and other conditions, $300&nbsp;million of its Senior Notes due 2025 (the &#147;Senior Notes&#148;) in an unregistered
offering pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended (the &#147;Securities Act&#148;). </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">The Company intends to use
a portion of the net proceeds from this offering to repay all outstanding debt under its revolving credit facility, and to the extent not used for the repayment of outstanding debt under its revolving credit facility, the Company intends to use the
remainder of the net proceeds from this offering for general corporate purposes, which may include among other things, working capital and acquisitions, including the previously announced merger transaction with UCP, Inc.<B> </B> </P>
