        <footnote id="F1">Represents an increase in the previously reported June 8, 2023 annual grant of restricted stock units (&quot;RSUs&quot;) made for Board and Committee service under the Issuer's Non-Employee Director Compensation Policy (the &quot;Policy&quot;). The RSUs were granted to correct the previously reported 2023 annual grant, pursuant to which the Reporting Person was not granted the appropriate number of RSUs under the Policy. In addition, the RSUs were granted fully vested on June 8, 2024 in order to make such correction as of the applicable vesting date for the 2023 annual grant. All previously made grants to the Reporting Person and the terms thereof remain unchanged. Each RSU represents a right to receive one share of the Issuer's common stock upon vesting. The common stock will have resale restrictions pursuant to which two-thirds of the common stock may not be sold after June 8, 2024. The resale restrictions expire in equal increments on the first and second anniversaries of June 8, 2024.</footnote>
