(the "Company") adopted the ManpowerGroup Inc. Annual Incentive Plan (the &#8220;Annual Plan&#8221;) for the purpose of making grants of annual incentive awards to certain executives, including its executive officers, beginning with awards for fiscal 2018. </font></div><div style="line-height:120%;text-align:left;-sec-extract:summary;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;"><br></font></div><div style="line-height:120%;text-align:left;text-indent:48px;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">Prior to fiscal 2018, the Company made its annual incentive awards to executive officers under the Amended and Restated ManpowerGroup Inc. Senior Management Annual Incentive Pool Plan (the &#8220;Pool Plan&#8221;).  In light of the changes to Internal Revenue Code Section 162(m) under the Tax Cuts and Jobs Act, the Company has determined that it will no longer make annual incentive awards under the Pool Plan.  The Pool Plan was designed in part to allow the Company to make annual incentive awards to its executive officers that were &#8220;qualifying performance-based compensation&#8221; for purposes of the exemption previously available for such compensation under Code Section 162(m).  Now that the exemption for qualifying performance-based compensation has been eliminated, many of the Pool Plan procedures for annual incentive awards are no longer necessary or desirable for the Company.</font></div><div style="line-height:120%;text-align:left;-sec-extract:summary;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;"><br></font></div><div style="line-height:120%;text-align:left;text-indent:48px;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">The Annual Plan provides that annual incentive awards granted to executive officers are to be administered by the Executive Compensation and Human Resources Committee of the Board of Director of the Company (the &#8220;Committee&#8221;).  The Committee can grant awards under the Annual Plan based in part on financial goals (called &#8220;Performance Measures&#8221;) and in part on operating objectives, both to be set forth for the participants within the first 90 days of the fiscal year.</font></div><div style="line-height:120%;text-align:left;-sec-extract:summary;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;"><br></font></div><div style="line-height:120%;text-align:left;text-indent:48px;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">The use of Performance Measures and operating objectives and the various procedures for determining annual awards under the Annual Plan are similar to the methodologies previously used by the Committee in recent years to apply negative discretion under the Pool Plan to determine actual payouts for the Company&#8217;s annual incentive awards to executive officers.  </font></div><div style="line-height:120%;text-align:left;-sec-extract:summary;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;"><br></font></div><div style="line-height:120%;text-align:left;text-indent:48px;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">The Annual Plan includes Earnings Per Share, Return on Invested Capital and Adjusted Operating Unit Profit as Performance Measures the Committee can use, consistent with its past practice. This Plan shall not affect any right of the Company to terminate, with or without cause, any Participant&#8217;s employment at any time.</font></div><div style="line-height:120%;padding-bottom:16px;text-align:left;font-size:14pt;"><font style="font-family:inherit;font-size:14pt;font-weight:bold;">Section 5.</font><font style="font-family:inherit;font-size:10pt;">&#160;&#160;&#160;&#160;</font><font style="font-family:inherit;font-size:14pt;font-weight:bold;">Withholding Taxes</font></div><div style="line-height:120%;padding-bottom:16px;text-align:left;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">The Company shall have the right to withhold from any compensation payable to a Participant, or to cause the Participant (or the executor or administrator of his or her estate or his or her distributee) to make payment of, any federal, state, local, or foreign taxes required to be withheld with respect to the distribution of any Awards.</font></div><div style="line-height:120%;padding-bottom:16px;text-align:left;font-size:14pt;"><font style="font-family:inherit;font-size:14pt;font-weight:bold;">Section 6.</font><font style="font-family:inherit;font-size:10pt;">&#160;&#160;&#160;&#160;</font><font style="font-family:inherit;font-size:14pt;font-weight:bold;">Amendment and Discontinuance of the Plan</font></div><div style="line-height:120%;padding-bottom:16px;text-align:left;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">The Committee may amend, alter, suspend or discontinue the Plan, as it shall from time to time consider desirable.
