Regulation FD Disclosure

On March 24, 2021, Kohl’s Corporation (“Kohl’s” or the “Company”) issued a press release announcing that it had mailed the definitive proxy materials previously filed with the Securities and Exchange Commission in connection with the Company’s Annual Meeting of Shareholders, which is scheduled to be held on May 12, 2021, and in conjunction therewith Kohl’s was providing a letter from the Company’s Board of Directors to its shareholders. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
