      On February 13, 2013, LTC Properties, Inc. (the &#8220;Company&#8221;) announced the
      retirement of T. Andrew Stokes as Senior Vice President, Marketing and
      Strategic Planning effective April 30, 2013.

      In accordance with the terms of his employment agreement, Mr. Stokes
      will be paid a lump sum severance payment equal to his base salary
      ($250,000) and all restricted stock shall automatically vest in
      accordance with the grant provisions of the restricted stock awards.

      Stokes as Senior Vice President, Marketing and Strategic Planning
      effective April 30, 2013.
