 <p style="margin-left:0in; margin-right:0in;"><font style="color:black; font-size:10pt;">On September 17, 2019, the Board of Directors (the &#8220;Board&#8221;) of BioCryst Pharmaceuticals, Inc. (the &#8220;Company&#8221;) voted to increase the size of the Board from seven directors to eight directors and elected Helen Thackray, M.D. to fill the vacancy created by the enlargement of the Board, effective September 20, 2019.&#160; Dr. Thackray&#8217;s initial term will expire at the Company&#8217;s annual meeting of stockholders in 2021.&#160; The Company issued a news release reporting this matter on September 23, 2019, and a copy of the news release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.</font></p>     <p style="margin-left:0in; margin-right:0in;"><font style="color:black; font-size:10pt;">The Company&#8217;s Board also appointed Dr. Thackray to serve on the Science Committee effective upon her election to the Board. </font></p>     <p align="justify" style="margin-left:0in; margin-right:0in;"><font style="color:black; font-size:10pt;">Pursuant to the Company&#8217;s Stock Incentive Plan, Dr. Thackray will receive an automatic grant of 40,000 stock options upon joining the Board and will be entitled to a grant of 30,000 stock options after each annual stockholders&#8217; meeting.&#160; Dr. Thackray will receive compensation consistent with the Company&#8217;s director compensation policy as described in the Company&#8217;s proxy statement for its 2019 annual meeting of stockholders. </font></p> </font></p><p><font style="font-size: 10pt;"><strong>  </strong></font></p><p><font style="font-size: 10pt;"><strong>Item 9.01.
