 <p style="margin-left:0in; margin-right:0in;"><font style="color:black; font-size:10pt;">On February 24, 2020, the Board of Directors (the &#8220;Board&#8221;) of BioCryst Pharmaceuticals, Inc. (the &#8220;Company&#8221;) voted to increase the size of the Board from eight directors to nine directors and elected Alan Levin to fill the vacancy created by the enlargement of the Board, effective February 27, 2020.&#160; Mr. Levin&#8217;s initial term will expire at the Company&#8217;s annual meeting of stockholders in 2022.&#160; The Company issued a news release reporting this matter on February 25, 2020, and a copy of the news release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.</font></p>     <p style="margin-left:0in; margin-right:0in;"><font style="color:black; font-size:10pt;">The Company&#8217;s Board also appointed Mr. Levin to serve on the Audit Committee and Finance Committee effective upon his election to the Board. </font></p>     <p align="justify" style="margin-left:0in; margin-right:0in;"><font style="color:black; font-size:10pt;">Pursuant to the Company&#8217;s Stock Incentive Plan, Mr. Levin will receive an automatic grant of 15,000 stock options upon joining the Board and will be entitled to a grant of 30,000 stock options after each annual stockholders&#8217; meeting.&#160; Mr. Levin will receive compensation consistent with the Company&#8217;s director compensation policy as described in the Company&#8217;s proxy statement for its 2020 annual meeting of stockholders. </font></p> </font></p><p><font style="font-size: 10pt;"><strong>  </strong></font></p><p><font style="font-size: 10pt;"><strong>Item 9.01. (Nasdaq: BCRX) today announced that the company has appointed former Pfizer chief financial officer (CFO), Alan G. Levin, to its board of directors (BOD).<br ></p>  <p align="justify">In addition to his 20-year career at Pfizer, Mr. Levin served as CFO of Endo Pharmaceuticals, Inc. over a five-year period where the company experienced a nearly 400 percent increase in its market capitalization.</p>  <p align="justify">He currently serves on the BOD of Diffusion Pharmaceuticals, Inc., a development stage company focused on therapeutics to enhance the effectiveness of treatments for stroke and cancer, and on the advisory board of Auven Therapeutics, a global private equity fund that acquires and pursues accelerated development of breakthrough therapeutic drugs, prior to licensing them to commercial partners.</p>  <p align="justify">From 2014 through 2019, Mr. Levin served on the BOD of Aceto Corporation, a multinational company involved in the sale and distribution of generic drugs, pharmaceutical intermediates and performance chemicals.
