ARCOS DORADOS HOLDINGS INC. ANNOUNCES FINAL SETTLEMENT OF CASH TENDER OFFER FOR ANY AND ALL OF ITS 10.25% BRAZILIAN REAL DENOMINATED SENIOR NOTES DUE 2016

 

Montevideo, Uruguay, May 10, 2016 – Arcos Dorados Holdings Inc. (the “Company”) today announced the final results of its previously announced cash tender offer (the “Offer”) for any and all of its outstanding 10.25% Brazilian Real-Denominated Senior Notes payable in U.S. dollars due 2016 (the “Notes”), pursuant to the terms of the offer to purchase dated April 8, 2016 (the “Offer to Purchase”). The Offer expired as scheduled at 11:59 PM, New York City time, on May 5, 2016 (the “Expiration Time”). After the Early Tender Time (5:00 PM, New York City time, on April 26, 2016) and prior to the Expiration Time, an additional R$4,025,000 aggregate principal amount of Notes, representing 0.64% of the Notes, were validly tendered and accepted for purchase. As previously announced, the Company received as validly tendered and accepted for purchase R$421,765,000 aggregate principal amount of Notes, representing 67.29% of the Notes, at or prior to the Early Tender Time. The total aggregate principal amount of Notes validly tendered and accepted for purchase by the Company was R$425,790,000, representing 67.93% of the Notes. Capitalized terms used but not defined herein have the meanings set forth in the Offer to Purchase.

 

The Company paid the Purchase Price (R$970 per R$1,000 principal amount of Notes) plus accrued and unpaid interest to, but not including, May 10, 2016, for the Notes that were validly tendered after the Early Tender Time and at or prior to the Expiration Time. The Purchase Price was paid in U.S. dollars, calculated by converting the Brazilian real into U.S. dollars at the Brazilian real/U.S. dollar commercial rate, as reported by the Banco Central do Brasil on May 5, 2016 (the “Final Rate Calculation Date”) and as further explained in the Offer to Purchase. The Settlement Rate, as determined on the Final Rate Calculation Date in accordance with the Offer to Purchase, is 3.5296 Brazilian reais per one U.S. Dollar. The Purchase Price (excluding accrued and unpaid interest) paid by the Company per R$1,000 principal amount of Notes expressed in U.S. dollars based on such Settlement Rate was $274.82. The total amount paid by the Company for all of the Notes validly tendered after the Early Tender Time and at or prior to the Expiration Time (excluding accrued and unpaid interest) expressed in U.S. dollars was $1,144,133.28. The total amount paid by the Company for all the Notes validly tendered in response to the Offer (excluding accrued and unpaid interest) expressed in U.S. dollars was $119,941,136.38.

 

Citigroup Global Markets Inc. and Itau BBA USA Securities, Inc. acted as dealer managers and D.F. King & Co., Inc. acted as the information and tender agent for the Offer.
