Troe, non-executive director, adopted a trading plan intended to satisfy Rule 10b5-1(c) to sell sufficient shares of the Company’s common stock between June 3, 2025 and June 16, 2025, subject to certain conditions, to cover tax obligations related to the vesting of restricted stock units on June 1, 2025. On June 13, 2024, Michael C. Kearney, non-executive director, adopted a trading plan intended to satisfy Rule 10b5-1(c) to sell up to 8,000 shares of the Company’s common stock between September 16, 2024 and September 16, 2025, subject to certain conditions. On June 14, 2024, Eileen G. Whelley, non-executive director, adopted a trading plan intended to satisfy Rule 10b5-1(c) to sell sufficient shares of the Company’s common stock between June 3, 2025 and June 16, 2025, subject to certain conditions, to cover tax obligations related to the vesting of restricted stock units on June 1, 2025. During the three months ended June 30, 2024, no other director or officer of the Company adopted or terminated a “Rule 10b5-1 trading arrangement” or “non-Rule 10b5-1 trading arrangement,” as each term is defined in Item 408(a) of Regulation S-K.
