announced that Todd W. Garner will become the Company&#146;s Executive Vice President&nbsp;&amp; Chief Financial Officer (&#147;CFO&#148;), effective immediately. As previously disclosed in the Company&#146;s Current Report on Form <FONT
STYLE="white-space:nowrap">8-K</FONT> filed on November&nbsp;2, 2017, Luke A. Pomilio will cease serving as CFO and assume the role of Special Advisor to the CFO effective immediately. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Mr.&nbsp;Garner (age 49) served as Vice President &#150; Investor Relations for C.R. Bard, Inc. from 2011 until December&nbsp;29, 2017.
Mr.&nbsp;Garner&#146;s prior roles with C.R. Bard, Inc. include Vice President, Controller (Division Chief Financial Officer) for its Medical division from 2007 through 2011, Director of Financial Reporting from 2005 through 2007 and the Controller
of the Reynosa Operations from 2003 through 2005. Prior to working at C.R. Bard, Inc., Mr.&nbsp;Garner was the acting CFO and Controller at Echopass Corporation (currently Genesys Corporation) in Salt Lake City, Utah from 2000 to 2003, the Value
Planning Manager at Futura Industries, Corp. in Clearfield, Utah from 1997 to 2000, Accounting Manager at Excel Communications in Dallas, Texas from 1997 to 1997 and Accounting Coordinator at Verizon, in Dallas, Texas from 1995 to 1996.
Mr.&nbsp;Garner began his career with Arthur Andersen LLP, where he was a senior auditor from 1992 to 1995. Mr.&nbsp;Garner holds a M.B.A. from the University of Texas &#150; Pan American, and a B.S. in accounting from Brigham Young University.
Mr.&nbsp;Garner is also a Certified Public Accountant. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">In connection with the hiring of Mr.&nbsp;Garner, CONMED&#146;s Compensation
Committee approved an award of options to purchase 48,000 shares of the Company&#146;s common stock, par value $0.001&nbsp;per share (&#147;Common Stock&#148;), at an exercise price of&nbsp;$50.61&nbsp;per share (the &#147;Stock Options&#148;), and
8,000 restricted stock units (&#147;RSUs&#148;). The date of grant for the Stock Options and RSUs was&nbsp;January&nbsp;2, 2018. The exercise price of the Stock Options is equal to the closing price per share of CONMED&#146;s Common Stock as
reported by NASDAQ on&nbsp;January 2, 2018. The Stock Options and RSUs were granted outside of the Company&#146;s existing equity plans as &#147;employment inducement grants&#148; under NASDAQ Listing Rule 5635(c)(4). </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">One fifth (20%) of the Stock Options grant shall vest on the first anniversary of the grant date, with the remaining Stock Options vesting in
equal annual installments on the succeeding anniversary of the grant date over a five (5)&nbsp;year period. One quarter (25%) of the RSUs shall vest on the first anniversary of the grant date, with the remaining RSUs vesting in equal, annual
installments on the succeeding anniversary of the grant date over a four (4)&nbsp;year period. The other terms of the Stock Option and RSU grant to Mr.&nbsp;Garner are materially the same as the terms to other officers under the Company&#146;s
Amended and Restated 2015 Long-Term Incentive Plan. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Mr.&nbsp;Garner will be employed as CFO on an
<FONT STYLE="white-space:nowrap">at-will</FONT> basis and will receive a base salary at an annual rate of $425,000. Mr.&nbsp;Garner will participate in the Company&#146;s Executive Management Bonus Program, with a target bonus equal to 65% of his
annual base salary. Mr.&nbsp;Garner is subject to certain restrictive covenants, including confidentiality and <FONT STYLE="white-space:nowrap">non-disparagement</FONT> covenants, and a one (1)&nbsp;year post-termination restriction on competition
and solicitation of the Company&#146;s customers and employees. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Mr.&nbsp;Garner will also be eligible to participate in the
Company&#146;s Benefit Restoration Plan, as well as the other health and welfare plans available to employees generally. Mr.&nbsp;Garner will also receive reimbursement for certain costs for relocation assistance, including a stipend of $3,500 per
month for six months. Mr.&nbsp;Garner&#146;s Offer Letter is attached hereto as Exhibit 10.2 and is incorporated herein by reference. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">A

(&#147;Agreement&#148;) sets forth the terms relating to your appointment as the Executive Vice President&nbsp;&amp; Chief Financial Officer for Conmed Corporation. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">1. <B><U>Effective Date; Title</U>.</B><B> </B>Effective January&nbsp;2, 2018 (&#147;<U>Effective Date</U>&#148;), you will be employed as the
<B>Executive Vice President</B><B></B><B>&nbsp;&amp; Chief Financial Officer,</B> reporting to Curt Hartman, our President&nbsp;&amp; CEO. You will be an <FONT STYLE="white-space:nowrap">at-will</FONT> employee for all purposes and as such, your
employment may be terminated by the Company or by you at any time with or without prior notice. Your principal place of employment will be at Company Headquarters in Utica, New York. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">2. <B><U>Base Salary</U>.</B> Commencing on the Effective Date, you will be entitled to a base salary at an annual rate of <B>$425,000,</B>
payable in accordance with the regular payroll practices of the Company. Based on the CEO&#146;s recommendation, your base salary will be reviewed annually by the Board (or a committee thereof) for any increase in the sole discretion of the Board
(or committee). </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">3. <B><U>Annual Bonus</U>.</B> You will be eligible to participate in the Company&#146;s Bonus Plan (the &#147;Bonus
Plan&#148;). You will have the opportunity to earn a <B>target bonus of 65%</B> of your base salary, measured against established criteria based on the CEO&#146;s recommendation and approved by the Board (or a committee thereof). The amount earned
will also be based on the CEO&#146;s recommendation and approved by the Board and will be payable in accordance with the terms and conditions of the Bonus Plan. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">4. <B><U>Relocation</U>.</B> You will be entitled to relocation assistance pursuant to <B>CONMED&#146;s Premium Relocation Policy</B> to
assist you in establishing living arrangements near Utica, NY. In addition, you will be paid a stipend of <B>$3,500/month for six months.</B> Your travel between your residence and Utica, NY for normal business will be at your expense with any other
travel being reimbursed as a normal business expense. The intent of the assistance provided as &#147;relocation&#148; is to assist you in establishing reasonable accommodations in Utica since your principle office will be based at our
headquarters.<B> </B> </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">5. <B><U>Long-Term Incentive Compensation</U>.</B> As of the Effective Date, you will be granted <B>8,000
Restricted </B><B>Stock Units (&#147;RSUs&#148;) and 48,000 Options </B>subject to our standard vesting and equity award terms. Beginning in 2019, you will be eligible to participate in the Company&#146;s long-term incentive plans in a manner
consistent with awards to other senior executives granted from time to time. All long-term incentive awards (and the terms thereof) will be determined and granted in the sole discretion of the Board (or a committee thereof). You will be subject to
the Company&#146;s stock ownership policy, as may be in effect from time to time, but in the amount applicable to your role. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">6.
<B><U>Employee Benefits; Policies</U>. </B>You will be entitled to participate in all employee benefits that the Company has adopted or may adopt, maintain or contribute to for the benefit of its senior executives at a level commensurate with your
position. Specifically, you will be eligible to participate in the Company&#146;s 401(k) plan and the Benefits Restoration Plan under the same terms as other participating employees. These plans currently provide for a <B>7% match</B> on employee
contributions. <B></B> </P>

for further development (&#147;<U>Confidential</U> <U>Information</U>&#148;). Accordingly, you hereby covenant and agree that you will deliver promptly upon termination of your employment, or at any other time the Company may request, all
Confidential Information in the form of memoranda, notes, records, reports and any other documents or media (and all copies thereof) relating to the Company&#146;s business which you may then possess or have under your control. In addition, for as
long as such information remains sensitive and confidential in nature, and is not made public (other than as a result of your action or inaction, direct or indirect), you agree that you will hold in strictest confidence all matters of the Company or
any of its affiliates that are not otherwise in the public domain and will not, directly or indirectly, disclose or otherwise communicate them to anyone outside of the Company or use them for yourself or otherwise, either during or after the period

truthful statement to a court, arbitrator, or administrative or governmental body or to the extent necessary in connection with any dispute involving you and the Company or to file a charge with or participate in any investigation conducted by any

as to the validity and enforceability of agreements similar to those contained in this Section 7. It is the intention of you and the Company that the provisions of this Section&nbsp;7 will be enforced to the fullest extent permissible under the laws

Executive Vice President and Chief Financial Officer, effective immediately. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Mr.&nbsp;Garner brings over two decades of senior finance and investor
relations experience to CONMED, including 15 years at C. R. Bard, Inc. (Bard), where he most recently served as Vice President, Investor Relations. Prior to that, he was Vice President, Controller (Division CFO) of Bard&#146;s Medical Division,
Director of the company&#146;s Corporate Financial Reporting, and Controller for the company&#146;s Reynosa Operations. Prior to joining Bard, he served as Controller and Acting CFO at Echopass Corporation (currently Genesys) and Value Planning
Manager at Futura Industries Corporation. Mr.&nbsp;Garner earned an MBA from University of Texas &#150; Pan American and a BS in Accounting from Brigham Young University. He is also a Certified Public Accountant. </P>

vest in equal increments over a period of five years. Mr.&nbsp;Garner also received 8,000 Restricted Stock Units (&#147;RSUs&#148;) which will vest in equal increments over a four-year period. The Stock Options and RSUs are subject to the same terms
and conditions as CONMED&#146;s equity awards to other officers under the Company&#146;s Amended and Restated 2015 Long-Term Incentive Plan, and will be effective on&nbsp;January 2, 2018, which is the first day of Mr.&nbsp;Garner&#146;s employment
