Genesis Park Acquisition Corp. (the &#147;Company&#148;) consummated the IPO of 16,377,622 units (the &#147;Units&#148;), including the issuance of 1,377,622 Units as a result of the underwriter&#146;s partial exercise of its over-allotment option.
Each Unit consists of one Class&nbsp;A ordinary share, $0.0001 par value (&#147;Ordinary Share&#148;), and <FONT STYLE="white-space:nowrap">one-half</FONT> of one redeemable warrant (&#147;Warrant&#148;). Each whole Warrant entitles its holder to
purchase one Class&nbsp;A ordinary share at a price of $11.50 per share. The Units were sold at an offering price of $10.00 per Unit, generating gross proceeds of $163,776,220. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">As of November&nbsp;27, 2020, a total of $166,232,863.30 of the net proceeds from the IPO and the private placement consummated simultaneously with the
closing of the IPO were deposited in a trust account established for the benefit of the Company&#146;s public stockholders. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">An audited balance sheet as

<P STYLE="margin-top:6pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Genesis Park Acquisition Corp. (the &#147;Company&#148;) was incorporated as a Cayman Islands exempted company on July&nbsp;29, 2020. The Company was
incorporated for the purpose of effecting a merger, capital share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses (&#147;Business Combination&#148;). The Company has not
selected any specific business combination target and the Company has not, nor has anyone on its behalf, initiated any substantive discussions, directly or indirectly, with any business combination target with respect to the Business Combination.
</P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">As of November&nbsp;27, 2020, the Company had not commenced any operations. All activity for the period from July&nbsp;29, 2020 (inception) through
November&nbsp;27, 2020 relates to the Company&#146;s formation and the Initial Public Offering (&#147;IPO&#148;) described below. The Company will not generate any operating revenues until after the completion of its initial Business Combination, at
the earliest. The Company will <FONT STYLE="white-space:nowrap">generate&nbsp;non-operating&nbsp;income</FONT> in the form of interest income on cash and cash equivalents from the proceeds derived from the Initial Public Offering. The Company has

&#147;Sponsor&#148;). </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">The registration statement for the Company&#146;s Initial Public Offering was declared effective by the U.S. Securities and
Exchange Commission (the &#147;SEC&#148;) on November&nbsp;23, 2020 (the &#147;Effective Date&#148;). On November&nbsp;27, 2020, the Company consummated the IPO of 16,377,622 units (the &#147;Units&#148;), including the issuance of 1,377,622 Units
as a result of the underwriter&#146;s partial exercise of its over-allotment option. Each Unit consists of one Class&nbsp;A ordinary share, $0.0001 par value (&#147;Ordinary Share&#148;), and&nbsp;one-half&nbsp;of one redeemable warrant
(&#147;Warrant&#148;) entitling its holder to purchase one Class&nbsp;A ordinary share at a price of $11.50 per share. The Units were sold at an offering price of $10.00 per Unit, generating gross proceeds of $163,776,220 (Note 3). </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Simultaneously with the closing of the IPO, the Company consummated the private placement (&#147;Sponsor Private Placement&#148;) with the Sponsor for an
aggregate of 7,292,541 warrants (&#147;Sponsor Private Warrants&#148;), each at a price of $1.00 per Sponsor Private Warrant, generating total proceeds of $7,292,541 and with Jefferies LLC (&#147;Jefferies&#148;), underwriter for the IPO, of an
aggregate of 439,627 warrants (the &#147;Jefferies Private Warrants&#148; and together with Sponsor Private Warrants, &#147;Private Warrants&#148;), each at a price of $1.00 per Jefferies Private Warrant, generating total proceeds of $439,627, which
is described in Note&nbsp;4. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Transaction costs amounted to $9,640,145 consisting of $3,275,524 of upfront underwriting discount, $5,732,168 deferred
underwriter&#146;s discount and $632,453 of other offering costs. In addition, $1,291,131 of cash was held outside of the Trust Account (as defined below) and is available for working capital purposes. </P>

direct U.S. government treasury obligations. Except with respect to interest earned on the funds held in the Trust Account that may be released to the Company to pay its tax obligations, the proceeds from IPO and the sale of the Private Placement

equity upon the completion of the Initial Public Offering. </P> <P STYLE="margin-top:18pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B><I>Income Taxes </I></B></P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">The Company complies with the accounting and reporting requirements of ASC Topic 740, &#147;Income Taxes,&#148; which prescribes a recognition threshold and a
measurement attribute for the financial statement recognition and measurement of tax positions taken or expected to be taken in a tax return. For those benefits to be recognized, a tax position must be more likely than not to be sustained upon
examination by taxing authorities. The Company&#146;s management determined that the Cayman Islands is the Company&#146;s only major tax jurisdiction. The Company recognizes accrued interest and penalties related to unrecognized tax benefits as
income tax expense. As of November&nbsp;27, 2020, there were no unrecognized tax benefits and no amounts were accrued for the payment of interest and penalties. The Company is currently not aware of any issues under review that could result in
significant payments, accruals or material deviation from its position. The Company is subject to income tax examinations by major taxing authorities since inception. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">There is currently no taxation imposed on income by the Government of the Cayman Islands. In accordance with Cayman income tax regulations, income taxes are

globally. The full impact of <FONT STYLE="white-space:nowrap">the&nbsp;COVID-19&nbsp;outbreak</FONT> continues to evolve. The impact of <FONT STYLE="white-space:nowrap">the&nbsp;COVID-19&nbsp;outbreak</FONT> on the Company&#146;s financial position
will depend on future developments, including the duration and spread of the outbreak and related advisories and restrictions. These developments and the impact of <FONT STYLE="white-space:nowrap">the&nbsp;COVID-19&nbsp;outbreak</FONT> on the
financial markets and the overall economy are highly uncertain and cannot be predicted. If the financial markets and/or the overall economy are impacted for an extended period, the Company&#146;s financial position may be materially adversely
affected. Additionally, the Company&#146;s ability to complete an initial business combination may be materially adversely affected due to significant governmental measures being implemented to contain
<FONT STYLE="white-space:nowrap">the&nbsp;COVID-19&nbsp;outbreak</FONT> or treat its impact, including travel restrictions, the shutdown of businesses and quarantines, among others, which may limit the Company&#146;s ability to have meetings with
potential investors or affect&nbsp;the ability of a potential target company&#146;s personnel, vendors and service providers to negotiate and consummate an initial business combination in a timely manner. The Company&#146;s ability to consummate an

Warrant&#148;). Each whole Public Warrant entitles the holder to purchase one share of Class&nbsp;A ordinary share at a price of $11.50 per share, subject to adjustment (see Note 7). </P>

for an aggregate purchase price of $7,732,168. A portion of the proceeds from the Private Warrants were added to the net proceeds from the Initial Public Offering held in the Trust Account. </P>

Public Warrants will become exercisable on the later of (a) 30 days after the completion of a Business Combination or (b) 12 months from the closing of the Proposed Public Offering. The Company has agreed that as soon as practicable, but in no event
later than 15&nbsp;business days after the closing of the initial Business Combination, the Company will use its best efforts to file with the SEC a registration statement registering the issuance of the Class&nbsp;A ordinary shares issuable upon
exercise of the warrants, to cause such registration statement to become effective and to maintain a current prospectus relating to those Class&nbsp;A ordinary shares until the warrants expire or are redeemed, as specified in the warrant agreement.
If a registration statement covering the Class&nbsp;A ordinary shares issuable upon exercise of the warrants is not effective by the 60th business day after the closing of the initial Business Combination or within a specified period following the
consummation of the initial Business Combination, warrant holders may, until such time as there is an effective registration statement and during any period when the Company shall have failed to maintain an effective registration statement, exercise
warrants on a &#147;cashless basis&#148; pursuant to the exemption provided by Section&nbsp;3(a)(9) of the Securities Act; provided that such exemption is available. If that exemption, or another exemption, is not available, holders will not be able
to exercise their warrants on a cashless basis. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">The Public Warrants will expire five years after the completion of a Business Combination or earlier upon
