Entry into a Material Definitive Agreement.

On January 9, 2025, Mercurity Fintech Holding Inc. (the “Company”) entered into a Securities Purchase Agreement (the “Securities Purchase Agreement”) with a non-U.S. investor (the “Purchaser”) for a private placement offering, providing the sale and issuance of 1,370,000 ordinary shares of the Company, par value $0.004 per share (the “New Shares”), for a total purchase price of US$8,041,900 at $5.87 per share (the “Offering”), in reliance upon the exemption provided by Rule 903 of Regulation S promulgated under the Securities Act of 1933, as amended. The Offering is anticipated to be closed on or before January 17, 2025.
