    <remarks>The amount of securities beneficially owned following reported transaction(s) set forth above reflects the impact of Mr. Abel's January 2010 judgment of divorce, which qualifies as a domestic relations order for purposes of Rule 16a-12.  Pursuant to such judgment, Mr. Abel has transferred 3089 SPH units to his ex-wife and holds an additional 599 restricted units in trust for his ex-wife.  Said 599 units (subject to reduction for purposes of the payment of applicable taxes) will be transferred from time to time to Mr. Abel's ex-wife when and if they vest in accordance with the terms and conditions of the issuer's restricted unit plans. Mr. Abel disclaims beneficial ownership of all units and resticted units either tranferred to, or held in trust for, his ex-wife and such units are excluded from the amount of securities beneficially owned following reported transaction(s) set forth above.</remarks>
