<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">On May&nbsp;23, 2014, Suburban Propane Partners, L.P. (&#147;Suburban&#148;) and Suburban Energy Finance Corp. (together with Suburban, the
&#147;Issuers&#148;), in connection with their previously announced tender offer and consent solicitation with respect to their outstanding 7&nbsp;1/2% Senior Notes due 2018 (the &#147;Notes&#148;), entered into a Supplemental Indenture, by and
among the Issuers and The Bank of New York Mellon, as trustee (the &#147;Supplemental Indenture&#148;), supplementing that certain Indenture, dated as of August&nbsp;1, 2012, pursuant to which the Notes were issued (the &#147;Indenture&#148;). </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The Supplemental Indenture effects certain amendments to the Indenture which were the subject of the consent solicitation in connection with
the Issuers&#146; tender offer for the Notes, which was launched on May&nbsp;12, 2014. These amendments eliminate substantially all of the restrictive covenants and eliminate or modify certain events of default and related provisions contained in
the Indenture, in each case with respect to the Notes (but not with respect to the Issuer&#146;s 7 3/8% Senior Notes dues 2021). The amendments will not, however, become operative until the Notes tendered in the tender offer are accepted for
purchase by the Issuers pursuant to the terms thereof. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The description of the Supplemental Indenture in this Form 8-K is a summary and is

L.P., a Delaware limited partnership (the &#147;Partnership&#148;), Suburban Energy Finance Corp., a Delaware corporation (the &#147;Company&#148; and together with the Partnership, the &#147;Issuers&#148;), and The Bank of New York Mellon, as
trustee (the &#147;Trustee&#148;), to the Indenture, dated as of August&nbsp;1, 2012 (the &#147;Indenture&#148;). </P> <P STYLE="margin-top:24pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman" ALIGN="center"><B><U>W</U> <U>I</U>

executed and delivered the Indenture providing for the issuance of 7-1/2% Senior Notes due 2018 (the &#147;2018 Notes&#148;) and 7 3/8&nbsp;% Senior Notes due 2021 (the &#147;2021 Notes&#148;) of the Issuers; </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">WHEREAS, there is currently outstanding under the Indenture $496,557,000 in aggregate principal amount of the 2018 Notes; </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">WHEREAS, Section&nbsp;8.02 of the Indenture provides that the Issuers and the Trustee may, with the written consent of the Holders (as defined
in the Indenture) of at least a majority in aggregate principal amount of the outstanding 2018 Notes, enter into a supplemental indenture for the purpose of amending the Indenture with respect to the 2018 Notes; </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">WHEREAS, the Issuers have offered to purchase for cash any and all of the outstanding 2018 Notes upon the terms and subject to the conditions
set forth in the Offer to Purchase and Consent Solicitation Statement, dated May&nbsp;12, 2014 (as the same may be amended or supplemented from time to time, the &#147;Statement&#148;), and in the related Consent and Letter of Transmittal (as the
same may be amended or supplemented from time to time, and, together with the Statement, the &#147;Offer&#148;), from each Holder of the 2018 Notes; </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">WHEREAS, the Offer is conditioned upon, among other things, the proposed amendments and waivers (the &#147;Proposed Amendments&#148;) to the
Indenture set forth herein having been approved by at least a majority in aggregate principal amount of the outstanding 2018 Notes (and a supplemental indenture in respect thereof having been executed and delivered); provided, that such Proposed
Amendments will only become operative with respect to the 2018 Notes upon the acceptance for payment by the Issuers of the 2018 Notes representing a majority in aggregate principal amount of the outstanding 2018 Notes pursuant to the Offer (the
&#147;Acceptance&#148;); </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">WHEREAS, the Issuers have received and delivered to the Trustee the requisite consents to effect the Proposed
Amendments under the Indenture; </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">WHEREAS, the Issuers have been authorized by resolutions of their respective Board of Supervisors or
Board of Directors, as the case may be, to enter into this Supplemental Indenture; </P>

the Indenture) as well as an Opinion of Counsel (as defined in the Indenture) to the effect that the execution and delivery of this Supplemental Indenture is authorized or permitted under the Indenture and that all conditions precedent provided for
in the Indenture to the execution and delivery of this Supplemental Indenture have been complied with; and </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">WHEREAS, all other acts and
proceedings required by law, by the Indenture and by the certificate of formation or certificate of incorporation, as the case may be, and the operating agreement or bylaws, as the case may be, of each of the Issuers to make this Supplemental
Indenture a valid and binding agreement for the purposes expressed herein, in accordance with its terms, have been duly done and performed; </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">NOW, THEREFORE, in consideration of the premises and the covenants and agreements contained herein, and for other good and valuable
consideration the receipt of which is hereby acknowledged, and for the equal and proportionate benefit of the Holders of the 2018 Notes, the Issuers and the Trustee hereby agree as follows: </P>
<P STYLE="margin-top:24pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman" ALIGN="center">ARTICLE ONE </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Section&nbsp;1.01
<U>Definitions</U>. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">Capitalized terms used in this Supplemental Indenture and not otherwise defined herein shall have the meanings
assigned to such terms in the Indenture. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">Section&nbsp;1.01 of the Indenture is amended with respect to the 2018 Notes only by deleting
all definitions of terms, and references to definitions of terms, that are used exclusively in the text of the Indenture and in the text of the 2018 Notes that are being otherwise eliminated by this Supplemental Indenture. </P>
<P STYLE="margin-top:24pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman" ALIGN="center">ARTICLE TWO </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Section&nbsp;2.01 <U>Amendments to
Table of Contents</U>. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">In respect of the 2018 Notes only, the Table of Contents of the Indenture is amended by deleting the titles to
Sections 9.03, 9.05, 9.08, 9.09, 9.10, 9.11, 9.12, 9.13, 9.14, 9.16, 9.17, 9.18, 9.19, 9.20 and 10.11 in their entirety and inserting in lieu thereof the phrase &#147;[intentionally omitted]&#148;. Such titles shall be deemed not to have been
deleted in respect of the 2021 Notes. </P> <P STYLE="margin-top:18pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Section&nbsp;2.02 <U>Amendment of Section&nbsp;4.01</U>. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">In respect of the 2018 Notes only, the provisions of Section&nbsp;4.01 of the Indenture are amended by deleting the text of clauses
(c)&nbsp;through (f)&nbsp;from Section&nbsp;4.01 and inserting in lieu thereof the phrase &#147;[intentionally omitted]&#148;. Such provisions shall be deemed not to have been deleted in respect of the 2021 Notes. </P>

inserting in lieu thereof the phrase &#147;[intentionally omitted]&#148; and by deleting the text of clause (b)(4) and inserting in lieu thereof the phrase &#147;[intentionally omitted]&#148;. Such provisions shall be deemed not to have been deleted
in respect of the 2021 Notes. </P> <P STYLE="margin-top:18pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Section&nbsp;2.04 <U>Amendment of Section&nbsp;9.03</U>. </P>

entirety and inserting in lieu thereof the phrase &#147;[intentionally omitted]&#148;. Such provisions shall be deemed not to have been deleted in respect of the 2021 Notes. </P>
<P STYLE="margin-top:18pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Section&nbsp;2.13 <U>Amendment of Section&nbsp;9.15</U>. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">In respect of the 2018 Notes only, the provisions of Section&nbsp;9.15 of the Indenture are amended by deleting the text of such Section (other
than the title thereof) in its entirety and inserting in lieu thereof the following: &#147;Subject to Article VII and Article XII hereof, Suburban Propane shall do or cause to be done all things necessary to preserve and keep in full force and
effect its limited partnership or corporate existence, and the corporate, partnership or other existence of each of its Subsidiaries, in accordance with the respective organizational documents (as the same may be amended from time to time) of
Suburban Propane or any such Subsidiary; provided, however, that Suburban Propane shall not be required to preserve the corporate, partnership or other existence of any of its Subsidiaries, if its Board of Supervisors shall determine that the
preservation thereof is no longer desirable in the conduct of the business of Suburban Propane and its Subsidiaries, taken as a whole, and that the loss thereof is not adverse in any material respect to the Holders of the Notes.&#148; Such
provisions shall be deemed not to have been deleted in respect of the 2021 Notes. </P> <P STYLE="margin-top:18pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Section&nbsp;2.14 <U>Amendment of Section&nbsp;9.16</U>. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">In respect of the 2018 Notes only, the provisions of Section&nbsp;9.16 of the Indenture are amended by deleting the text of such Section in its
entirety and inserting in lieu thereof the phrase &#147;[intentionally omitted]&#148;. Such provisions shall be deemed not to have been deleted in respect of the 2021 Notes. </P>

its entirety and inserting in lieu thereof the phrase &#147;[intentionally omitted]&#148;. Such provisions shall be deemed not to have been deleted in respect of the 2021 Notes. </P>
<P STYLE="margin-top:24pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman" ALIGN="center">ARTICLE THREE </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Section&nbsp;3.01
<U>Effectiveness of Amendments</U>. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">This Supplemental Indenture shall be effective upon its execution and delivery by the parties hereto.
The Amendments set forth in Article Two hereof will only become operative concurrently with the Acceptance. </P> <P STYLE="margin-top:18pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Section&nbsp;3.02 <U>Continuing Effect of
Indenture</U>. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">Except as expressly provided herein, all of the terms, provisions and conditions of the Indenture and the 2018 Notes
outstanding thereunder shall remain in full force and effect. On and after the Acceptance, each reference in the Indenture to &#147;the Indenture,&#148; &#147;this Indenture,&#148; &#147;hereunder,&#148; &#147;hereof&#148; or &#147;herein&#148;
shall mean and be a reference to the Indenture as supplemented by this Supplemental Indenture unless the context otherwise requires. </P>

<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman"><B>Whippany, New Jersey, May&nbsp;27, 2014 &#151; </B>Suburban Propane Partners, L.P. (NYSE:SPH) (&#147;Suburban Propane&#148;), a nationwide
distributor of propane, fuel oil and related products and services, as well as a marketer of natural gas and electricity, announced today that pursuant to the offer of Suburban Energy Finance Corp. and Suburban Propane (collectively
&#147;Suburban&#148;) to purchase any and all of the $496.6 million aggregate principal amount of their outstanding 7 1/2% Senior Notes due 2018 with CUSIP number 864486AE5 (the &#147;Notes&#148;) and related solicitation of consents (together, the
&#147;Offer&#148;) to certain proposed amendments to the indenture (the &#147;Amendments&#148;) governing the Notes (the &#147;Consents&#148;), the holders of $385,809,000 (77.70%)&nbsp;aggregate principal amount of Notes have validly delivered and
not validly revoked Consents as of 5:00 p.m., New York City time, on May&nbsp;23, 2014. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Accordingly, a supplemental indenture (the
&#147;Supplemental Indenture&#148;) to effect the Amendments has been executed by Suburban and the trustee under the Indenture (the &#147;Trustee&#148;). The Amendments, which will eliminate substantially all of the restrictive covenants and
eliminate or modify certain events of default and related provisions contained in the Indenture, in each case in respect of the Notes (but not in respect of the Suburban&#146;s 7 3/8% Senior Notes due 2021), will become operative when the tendered
Notes are accepted for purchase by Suburban. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Withdrawal and revocation rights with respect to tendered Notes and delivered Consents
expired on May 23, 2014, the date of the execution of the Supplemental Indenture. Accordingly, holders may no longer withdraw any Notes previously or hereafter tendered or revoke any Consents previously or hereafter delivered, except in the limited
circumstances set forth in the Offer to Purchase and Consent Solicitation Statement dated May&nbsp;12, 2014 (the &#147;Offer to Purchase&#148;). </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The Offer will expire at 11:59 P.M., New York City time, on June&nbsp;9, 2014, unless extended (such date and time, as the same may be
extended, the &#147;Expiration Date&#148;). Holders who validly tender their Notes and provide their Consents prior to 5:00 p.m., New York City time, on May&nbsp;23, 2014, unless such date is extended or earlier terminated (the &#147;Consent Payment
Deadline&#148;), will be entitled to receive the total consideration of $1,061.35, payable in cash for each $1,000 principal amount of Notes accepted for payment, which includes a consent payment of $30.00 per $1,000 principal amount of Notes
accepted for payment. The Offer contemplates an early settlement option, so that holders whose Notes are validly tendered prior to the Consent Payment Deadline and accepted for purchase could receive payment as early as May&nbsp;27, 2014 (the
&#147;Initial Payment Date&#148;). Holders who validly tender their Notes after the Consent Payment Deadline, but on or prior to the Expiration Date, will receive $1,031.35 for each $1,000 principal amount of Notes accepted for purchase, which
amount is equal to the total consideration less the consent payment. Accrued and unpaid interest, up to, but not including, the applicable settlement date will be paid in cash on all validly tendered and accepted Notes. The settlement date with
respect to all Notes not settled at the Initial Payment Date is expected to be June&nbsp;10, 2014, or promptly thereafter. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The closing of
the Offer will be subject to a number of conditions that are set forth in the Offer to Purchase, including the successful completion by Suburban of its public offering of $525 million aggregate principal amount of 5.50% senior notes due 2024, the
pricing of which was announced on May&nbsp;12, 2014. The sale of the new notes is expected to close on May&nbsp;27, 2014. </P>
