(1) The closing price of the Company’s common stock as reported on the Nasdaq Global Select Market was $58.30 per share at June 30, 2022 compared to a conversion price of $71.78 per share. Therefore, at June 30, 2022, the conversion price was above the stock price. The maximum conversion premium that could have been due on the 2025 Notes is 5.6 million shares of the Company’s common stock, which assumes no increase in the conversion rate for certain corporate events.
