Flaggning sker med anledning av att DCap SCA SICAV-RAIF (”DCap Select Fund”) ingått överlåtelseavtal avseende köp av aktier i Wise Group AB (”Transaktionen”). DCap Select Fund har därmed passerat tröskelvärdet 5 % uppåt avseende aktier och röster. Beräkningen av tröskelvärdet baseras på ett totalt antal aktier och röster om 8 869 032 i Wise Group AB, vilket är resultatet av den riktade nyemission i Wise Group AB som registrerades av Bolagsverket den 5 juni 2026 och är det antal aktier och röster som var registrerat hos Bolagsverket per tröskeldatumet.

The legal basis for FI to compile and publish these so-called major shareholding notification announcements is that this document is necessary for FI to carry out a task in the public interest (Article 6(1)(e) of the General Data Protection Regulation). Chapter 4 of Act (1991:980) sets forth that major shareholders are obligated under certain conditions to notify FI when buying or selling shares and that FI must disclose this information. Chapter 12, sections 10–11 of FFFS 2007:17 specifies the required content of the major shareholding notification.
