Dahlgren Capital Active Equity AB (”Active Equity”) är enligt 4 kap. 4 § lagen om handel med finansiella instrument (LHF) moderbolag till DCap PE 5 AB. Flaggning sker med anledning av att DCap PE 5 AB ingått ett koncerninternt överlåtelseavtal med Active Equity avseende köp av aktier i Wise Group AB (”Transaktionen”). DCap PE 5 AB har därmed passerat tröskelvärdet 15 % uppåt avseende aktier och röster. Active Equitys direkta innehav uppgick före Transaktionen till 2 478 172 aktier/röster (27,94185 %) och uppgår efter Transaktionen till 1 000 000 aktier/röster (11,27519 %). DCap PE 5 AB:s direkta innehav uppgick före Transaktionen till 0 aktier/röster (0 %) och uppgår efter Transaktionen till 1 478 172 aktier/röster (16,66667 %). Active Equitys sammanlagda innehav efter Transaktionen är oförändrat enligt sammanräkningsregeln i 4 kap. 4 § st. 2 p. 3 LHF. Active Equity fullgör härmed DCap PE 5 AB:s flaggningsskyldighet enligt 4 kap. 6 § LHF. Beräkningen av tröskelvärdet baseras på ett totalt antal aktier och röster om 8 869 032 i Wise Group AB, vilket är resultatet av den riktade nyemission i Wise Group AB som registrerades av Bolagsverket den 5 juni 2026 och är det antal aktier och röster som var registrerat hos Bolagsverket per tröskeldatumet.

The legal basis for FI to compile and publish these so-called major shareholding notification announcements is that this document is necessary for FI to carry out a task in the public interest (Article 6(1)(e) of the General Data Protection Regulation).
