HOUSTON, June 13 /PRNewswire-FirstCall/ -- Bristow Group Inc. (NYSE: BRS) today announced the closing of its private offering of $300 million of senior notes due 2017. The notes priced at par and will carry an interest rate of 7 1/2%. The Company intends to use the net proceeds from the offering to fund additional aircraft purchases under options and for general corporate purposes. Interest is payable on March 15 and September 15, beginning September 15, 2007.

The notes will not initially be registered under the Securities Act of 1933 or the securities laws of any state and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements under the Securities Act and applicable state securities laws. The notes may be resold by the initial purchasers pursuant to Rule 144A and Regulation S under the Securities Act.
