(the &#8220;Company&#8221;) entered into that certain Second Amendment to Revolving Credit Agreement dated as of September 2, 2009, by and among the Company, the several banks and other financial institutions party thereto and SunTrust Bank, in its capacity as Administrative Agent (the &#8220;Amendment&#8221;).&#160;&#160;As
previously reported in the Company&#8217;s Current Reports on Form 8-K dated September 8, 2006 and June 9, 2008, the Company maintains a revolving credit facility which, prior to the Amendment, allowed for maximum borrowings of up to $296.5 million. The Amendment serves to (i) reduce the amount of the credit facility to $200 million, (ii) revise the definition of the term &#8220;Base Rate&#8221; to provide that such rate will not be less than the per annum rate determined by increasing the one month LIBOR rate
by one percent, and (iii) revise the definition of the term &#8220;Interest Coverage Ratio&#8221; to provide that such ratio will be determined by the Company&#8217;s EBITDA and not EBIT.&#160;&#160;The Amendment is filed as Exhibit 99.1 hereto and is incorporated herein by reference.</font></div>

dated as of September 8, 2006 as amended by that certain Commitment Increase Amendment to Revolving Credit Agreement dated as of June 5, 2008 (as further amended, restated, supplemented or otherwise modified from time to time, the &#8220;<font style="DISPLAY: inline; FONT-WEIGHT: bold; FONT-STYLE: italic">Credit Agreement</font>&#8221;; capitalized terms used herein and not otherwise defined shall have the meanings assigned to such terms in the Credit Agreement), pursuant to which the Lenders, the Issuing Bank
and the Swingline Lender have made certain financial accommodations available to the Borrower;</font></div>

of one percent (0.50%) and (iii) the Adjusted LIBO Rate determined on a daily basis for an Interest Period of one (1) month, plus one percent (1.00%) per annum (any changes in such rates to be effective as of the date of any change in such rate).&#160;&#160;The Administrative Agent&#8217;s prime lending rate is a reference rate and does not necessarily represent the lowest or best rate charged to customers.&#160;&#160;The Administrative Agent may make commercial loans or other loans at rates of interest at, above
or below the Administrative Agent&#8217;s prime lend&#173;ing rate.</font></div>

a payment to the Issuing Bank in respect of a Letter of Credit or to the Swingline Lender in respect of a Swingline Loan (each a &#8220;<font style="DISPLAY: inline; TEXT-DECORATION: underline">funding obligation</font>&#8221;), (ii) such Lender has notified the Administrative Agent, or has stated publicly, that it will not comply with any such funding obligation hereunder, or has defaulted on, its obligation to fund generally under any other loan agreement, credit agreement or other financing agreement, (iii)
such Lender has, for three or more Business Days, failed to confirm in writing to the Administrative Agent, in response to a written request of the Administrative Agent, that it will comply with its funding obligations hereunder, or (iv) a Lender Insolvency Event has occurred and is continuing with respect to such Lender.&#160;&#160;Any determination that a Lender is a Defaulting Lender under clauses (i) through (iv) above will be made by the Administrative Agent in its sole discretion acting in good faith.&#160;&#160;The
Administrative Agent will promptly send to all parties hereto a copy of any notice to the Borrower provided for in this definition.</font></div>

as, or determined by any Governmental Authority having regulatory authority over such Person or its assets to be, insolvent; provided that, for the avoidance of doubt, a Lender Insolvency Event&#160; shall not be deemed to have occurred&#160; solely by virtue of the ownership or acquisition of any equity interest in or control of such Lender or a parent company thereof by a governmental authority or an instrumentality thereof.</font></div>

in respect of any financial institution affiliate of such Lender, (ii) that has (or its Parent Company or a financial institution affiliate thereof has) notified the Administrative Agent, or has stated publicly, that it will not comply with its funding obligations under any other loan agreement or credit agreement or other similar/other financing agreement or (iii) that has, or whose Parent Company has, a non-investment grade rating from Moody&#8217;s or S&amp;P or another nationally recognized rating agency.&#160;&#160;Any
determination that a Lender is a Potential Defaulting Lender under any of clauses (i) through (iii) above will be made by the Administrative Agent in its sole discretion acting in good faith.&#160;&#160;The Administrative Agent will promptly send to all parties hereto a copy of any notice to the Borrower provided for in this definition.</font></div>

Agent, the Issuing Bank, the Swingline Lender or any other Lender may have against such Defaulting Lender or cause such Defaulting Lender to be a Non-Defaulting Lender;</font></div>

Exposure of such Defaulting Lender or the LC Exposure and Swingline Exposure of such Potential Defaulting Lender, or (b) in the case of such Swingline Exposure, prepay (subject to clause (4) below) and/or Cash Collateralize in full the unreallocated portion thereof, or (c) make other arrangements satisfactory to the Administrative Agent, the Issuing Bank and the Swingline Lender in their sole discretion to protect them against the risk of non-payment by such Defaulting Lender or Potential Defaulting Lender;</font></div>

accordance with their respective Senior Revolving Commitments;</font></div>

set forth in <font style="DISPLAY: inline; TEXT-DECORATION: underline">Section 10.4(b</font>)) all its interests, rights and obligations under this Agreement to an assignee that shall assume such obligations (which assignee may be another Lender); <font style="DISPLAY: inline; TEXT-DECORATION: underline">provided</font>, that (i) the Borrower shall have received the prior written consent of the Administrative Agent, which consent shall not be unreasonably withheld, (ii) such Lender shall have received payment
of an amount equal to the outstanding principal amount of all Loans owed to it, accrued interest thereon, accrued fees and all other amounts payable to it hereunder, from the assignee (in the case of such outstanding principal and accrued interest) and from the Borrower (in the case of all other amounts).</font></div>

Lender, as the case may be, the Administrative Agent will so notify the parties hereto, whereupon as of the effective date specified in such notice and subject to any conditions set forth therein, the LC Exposure and the Swingline Exposure of the other Lenders shall be readjusted to reflect the inclusion of such Lender&#8217;s Commitment, and such Lender will purchase at par such portion of outstanding Revolving Loans of the other Lenders and/or make such other adjustments as the Administrative Agent may determine
to be necessary to cause the Revolving Credit Exposure of the Lenders to be on a <font style="DISPLAY: inline; TEXT-DECORATION: underline">pro</font> <font style="DISPLAY: inline; TEXT-DECORATION: underline">rata</font> basis in accordance with their respective Revolving Commitments, whereupon such Lender will cease to be a Defaulting Lender or Potential Defaulting Lender and will be a Non-Defaulting Lender (and such Revolving Credit Exposure of each Lender will automatically be adjusted on a prospective basis
to reflect the foregoing) and if any cash collateral has been posted with respect to such Defaulting Lender or Potential Defaulting Lender, the Administrative Agent will promptly return such cash collateral to the Borrower; <font style="DISPLAY: inline; TEXT-DECORATION: underline">provided</font> that no adjustments will be made retroactively with respect to fees accrued or payments made by or on behalf of the Borrower while such Lender was a Defaulting Lender; and <font style="DISPLAY: inline; TEXT-DECORATION: underline">provided</font>,
further, that except to the extent otherwise expressly agreed by the affected parties, no change hereunder from Defaulting Lender or Potential Defaulting Lender to Non-Defaulting Lender will constitute a waiver or release of any claim of any party hereunder arising from such Lender&#8217;s having been a Defaulting Lender or Potential Defaulting Lender.</font></div>

Each Guarantor acknowledges that, notwithstanding anything to the contrary contained herein or in any other document evidencing any indebtedness of the Borrower to the Lenders or any other obligation of the Borrower, or any actions now or hereafter taken by the Lenders with respect to any obligation of the
Borrower, the Guaranty Agreement (i) is and shall continue to be a primary obligation of the Guarantors, (ii) is and shall continue to be an absolute, unconditional, joint and several, continuing and irrevocable guaranty of payment, and (iii) is and shall continue to be in full force and effect in accordance with its terms.&#160;&#160;Nothing contained herein to the contrary shall release, discharge, modify, change or affect the original liability of the Guarantors under the Guaranty Agreement.</font></div>

a Loan Document for all purposes of the Credit Agreement.</font></div>
