Veolia</B>. Since acquiring Clean Earth in 2019, we have strengthened our role in the environmental solutions industry. Clean Earth&#8217;s strong performance and operational excellence have made it an attractive fit for Veolia, a company that
shares our values and vision for sustainability. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">This is an important milestone in Enviri&#8217;s journey and follows the successful
strategic review we initiated in August. After careful consideration, we believe this transaction unlocks the full value of our business and presents the most meaningful opportunity for our employees, customers, and shareholders. </P>
