Material Terms of Trading Arrangement	On August 11, 2025, Allan Dicks, Chief Financial Officer, adopted a trading plan intended to satisfy Rule 10b5-1(c). The plan provides for the sale of up to 89,142 shares of Company common stock, up to 62,500 of which shares are to be acquired pursuant to the exercise of stock options, between November 13, 2025 and May 12, 2026, subject to certain conditions. The plan provides for the purchase of up to 234,125 shares of Company common stock, 209,125 of which shares are to be acquired pursuant to the exercise of stock options, and the sale of 134,950 shares plus an additional number of shares acquired pursuant to the exercise of stock options to fulfill the exercise price of 74,175 of such stock options between November 10, 2025 and August 12, 2026, subject to certain conditions.
