Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 25, 2022, Duane Suits, a member of the Board of Directors (the “Board”) of Old Second Bancorp, Inc. (the “Company”), submitted his resignation from the Board effective November 8, 2022, his 73^rd birthday. Mr. Suits submitted his resignation in accordance with the Company’s Director Resignation Policy, which requires that any person serving as a director submit his or her resignation as a director upon attaining the age of 73 during his or her tenure. As such, Mr. Suits resignation is not the result of any disagreement with the Company. The Company does not anticipate immediately filling the vacancy on the Board caused by Mr. Suits’ resignation and will reduce the size of the Board by one member.

Mr. Suits has been a valuable board member since November 2012 and we appreciate his contributions to the Company during his tenure.
