Legal Proceedings and Other Contingencies

The Company reserves for contingent liabilities based on ASC 450, Contingencies, when it determines that a liability is probable and reasonably estimable. From time to time, the Company may become involved in litigation relating to claims arising in the ordinary course of the business; however, unless otherwise noted, there are no claims or actions pending or threatened against the Company that, if adversely determined, would in the Company's management's judgment have a material adverse effect on the Company.

Former Employee Matters

On December 28, 2022, the Company’s former Chief Marketing Officer (the “Former CMO”) filed a complaint (the “Original Complaint”) in the United States District Court for the District of Maryland (the “District Court”), alleging wrongful termination on the basis of race and age and that the Company retaliated against him. On April 26, 2023, the Former CMO filed an amended complaint with the District Court, alleging the same claims made in the Original Complaint. The Company is asserting substantial defenses and cannot estimate a range of potential liability, if any, at this time. The discovery and motions phases of the case are complete. The Former CMO voluntarily dismissed his age discrimination claims. Trial on the remaining claims (i.e., race discrimination and retaliation) is scheduled for July 13-17, 2026. The Company’s employment practices liability insurance carrier, CNA, has accepted tender of these claims.
