Based upon due diligence conducted in connection with the Omni Acquisition and affirmative representations received from Former Omni Holders, the Company determined that each of the Former Omni Holders that was issued Company Series C Preferred Units and Opco Series C-2 Preferred Units in connection with the Omni Acquisition had sufficient knowledge and experience in financial and business matters that, each was capable of evaluating the merits and risks of the prospective investment in the Company&#8217;s securities.
