Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.</font></div><div style="line-height:120%;padding-bottom:8px;padding-top:0px;text-align:justify;text-indent:48px;font-size:10pt;"><font style="font-family:Arial;font-size:10pt;">On September 16, 2016, Green Dot Corporation (the &#8220;</font><font style="font-family:Arial;font-size:10pt;font-style:italic;font-weight:bold;">Company</font><font style="font-family:Arial;font-size:10pt;">&#8221;) entered into an employment agreement with Steven W. Streit, the Company&#8217;s President and Chief Executive Officer (the &#8220;</font><font style="font-family:Arial;font-size:10pt;font-style:italic;font-weight:bold;">Employment Agreement</font><font style="font-family:Arial;font-size:10pt;">&#8221;) that will govern the terms of Mr. Streit&#8217;s continued employment with the Company as its President and Chief Executive Officer.  The Employment Agreement amends and clarifies certain terms of Mr. Streit&#8217;s existing Executive Severance Agreement with the Company (the &#8220;</font><font style="font-family:Arial;font-size:10pt;font-style:italic;font-weight:bold;">Severance Agreement</font><font style="font-family:Arial;font-size:10pt;">&#8221;), and includes a transitional advisory agreement and release of claims (the &#8220;</font><font style="font-family:Arial;font-size:10pt;font-style:italic;font-weight:bold;">Advisory Agreement</font><font style="font-family:Arial;font-size:10pt;">&#8221;), which will govern the terms of Mr. Streit&#8217;s continued service as a contractor to the Company following certain terminations of his employment with the Company. </font></div><div style="line-height:120%;padding-bottom:8px;padding-top:0px;text-align:justify;text-indent:48px;font-size:10pt;"><font style="font-family:Arial;font-size:10pt;font-style:italic;">Salary, Bonus and Future Equity Grants</font></div><div style="line-height:120%;padding-bottom:8px;padding-top:0px;text-align:justify;text-indent:48px;font-size:10pt;"><font style="font-family:Arial;font-size:10pt;">Pursuant to the Employment Agreement, Mr.&#160;Streit will continue to receive an annual base salary of $666,000.  In addition, Mr.&#160;Streit will continue to be eligible for an annual performance bonus under the Company&#8217;s annual Executive Officer Incentive Bonus Plan, with a target amount equal to 100% of his base salary.  Mr. Streit also will be eligible to receive future equity grants from the Company.</font></div><div style="line-height:120%;padding-bottom:8px;padding-top:0px;text-align:justify;text-indent:48px;font-size:10pt;"><font style="font-family:Arial;font-size:10pt;font-style:italic;">Termination without Cause or Resignation for Good Reason - Advisory Agreement and Release of Claims</font></div><div style="line-height:120%;padding-bottom:8px;padding-top:0px;text-align:justify;text-indent:48px;font-size:10pt;"><font style="font-family:Arial;font-size:10pt;">Under the terms of the Employment Agreement, if Mr.&#160;Streit&#8217;s employment with the Company is terminated without Cause or he resigns his employment for Good Reason (as such terms are defined in the Employment Agreement), then the Employment Agreement will terminate and Mr. Streit and the Company will enter into the Advisory Agreement, pursuant to which Mr. Streit will continue to provide advisory services as an independent contractor to the Company for a period of two years.</font></div><div style="line-height:120%;padding-bottom:8px;padding-top:0px;text-align:justify;text-indent:48px;font-size:10pt;"><font style="font-family:Arial;font-size:10pt;">Under the terms of the Employment Agreement, if he is terminated without Cause by the Company, Mr. Streit is no longer entitled to a lump sum cash severance payment in an amount equal to six months of his then-current annual base salary as provided for under the Severance Agreement.  Instead, provided Mr. Streit delivers and does not revoke a release of claims in favor of the Company (the &#8220;</font><font style="font-family:Arial;font-size:10pt;font-style:italic;font-weight:bold;">Release</font><font style="font-family:Arial;font-size:10pt;">&#8221;) and in consideration of Mr. Streit&#8217;s advisory services to the Company and noncompetition and other agreements, he will receive a monthly fee based on his total annual cash compensation (annual base salary and annual target bonus) as of immediately prior to execution of the Employment Agreement or as of immediately prior to his termination of employment, whichever is greater, divided by 12.  Mr. Streit will also receive continued payment of the applicable COBRA premiums for himself and his eligible dependents for 18 months following termination of his employment.  If Mr. Streit&#8217;s advisory services under the Advisory Agreement are terminated by the Company prior to the end of the two-year period for any reason, he will receive payment of (i) any then-unearned portion of the monthly fee payable with respect to the balance of the two-year period following his termination of employment and (ii) the COBRA premiums payable with respect to the balance of the 18-month period following his termination of employment.  Payment of the monthly fee and the COBRA premiums may be withheld by the Company in the event of Mr. Streit&#8217;s breach of certain restrictions as set forth in the Advisory Agreement.</font></div><div style="line-height:120%;padding-bottom:8px;padding-top:0px;text-align:justify;text-indent:48px;font-size:10pt;"><font style="font-family:Arial;font-size:10pt;">Under the surviving terms of the Severance Agreement and the new terms of the Employment Agreement, provided Mr. Streit delivers and does not revoke the Release upon his termination without Cause by the Company or his termination of employment with the Company for Good Reason he will receive (a) vesting acceleration of all then-unvested shares subject to his outstanding and unvested equity awards that are subject to time-based vesting conditions and (b) vesting acceleration of a prorated portion of performance-based equity awards based on the actual achievement of applicable performance goals or factors set forth in the applicable agreement evidencing Mr. Streit&#8217;s performance-based awards through his termination or, if the applicable performance period ends prior to his termination, through the end of such performance period. (as defined in the 2016 PRSU) would be adjusted to represent two-thirds of its original value, or 66,142 shares (i.e., 99,213 multiplied by 2/3), because under the provisions above two of the three years of the three-year performance period thereunder would be deemed to have been completed, and (ii) a TSR factor of 0.50 would apply under the 2016 PRSU because under the provisions above the performance goal under the 2016 PSRU would be measured from January 1, 2016 through your Separation date; The claims subject to this Release include, but are not limited to, those relating to your employment with the Company and/or any predecessor to the Company and the termination of such employment. All such claims (including related attorneys&#8217; fees and costs) are barred without regard to whether those claims are based on any alleged breach of a duty arising in statute, contract, or tort. This expressly includes waiver and release of any rights and claims arising under any and all laws, rules, regulations, and ordinances, including, but not limited to: Title VII of the Civil Rights Act of 1964; the Older Workers Benefit Protection Act; the Americans With Disabilities Act; the Age Discrimination in Employment Act; the Fair Labor Standards Act; the National Labor Relations Act; the Family and Medical Leave Act; the Employee Retirement Income Security Act of 1974, as amended (&#8220;</font><font style="font-family:inherit;font-size:11pt;font-style:italic;font-weight:bold;">ERISA</font><font style="font-family:inherit;font-size:11pt;">&#8221;); the Workers Adjustment and Retraining Notification Act; the California Fair Employment and Housing Act (if applicable); the provisions of the California Labor Code (if applicable); the Equal Pay Act of 1963; and any similar law of any other state or governmental entity.  You further waive any rights under Section 1542 of the Civil Code of the State of California or any similar state statute. Section 1542 states: &#8220;A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which, if known to him or her, must have materially affected his or her settlement with the debtor.&#8221; This Release does not extend to, and has no effect upon, any benefits that have accrued, and to which you have become vested or otherwise entitled to, under any employee benefit plan, program or policy sponsored or maintained by the Company, or to your right to indemnification by the Company, and continued coverage by the Company&#8217;s director&#8217;s and officer&#8217;s liability insurance policy, to any claim that arises after the date of this Agreement or to nay right you may have to obtain contribution as permitted by law in the event of entry of judgment against you as a result of any act or failure to act for which the Company, or any of its subsidiaries or affiliates, and you are held jointly liable.</font></div><div style="line-height:120%;padding-bottom:14px;text-align:justify;text-indent:48px;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">2.</font><font style="font-family:inherit;font-size:10pt;">&#160;&#160;&#160;&#160;</font><font style="font-family:inherit;font-size:11pt;">In understanding the terms of the Release and your rights, you have been advised to consult with an attorney of your choice prior to executing the Release.  You understand that nothing in the Release shall prohibit you from exercising legal rights that are, as a matter of law, not subject to waiver such as: (a) your rights under applicable workers&#8217; compensation laws; (b) your right, if any, to seek unemployment benefits; (c) your right to indemnity under California Labor Code section 2802 or other applicable state-law right to indemnity; and (d) your right to file a charge or complaint with a government agency such as but not limited to the Equal Employment Opportunity Commission, the National Labor Relations Board, the Department of Labor, the California Department of Fair Employment and Housing, or other applicable state agency. The Company (including its subsidiaries and affiliates) will not make, and agrees to use its best efforts to cause the officers, directors, employees and spokespersons of the Company to refrain from making, any negative or disparaging statements or comments, either as fact or as opinion, about you (or authorizing any statements or comments to be reported as being attributed to the Company). Nothing in this paragraph shall prohibit you or the Company from providing truthful information in response to a subpoena or other legal process.</font></div><div style="line-height:120%;padding-bottom:14px;text-align:justify;text-indent:48px;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">9.</font><font style="font-family:inherit;font-size:10pt;">&#160;&#160;&#160;&#160;</font><font style="font-family:inherit;font-size:11pt;">You agree that you have had at least twenty-one (21) calendar days in which to consider whether to execute the Release, no one hurried you into executing the Release during that period, and no one coerced you into executing the Release. The Company and you shall furnish to the Accountant such information and documents as the Accountant may reasonably request in order to make its determinations. The Company shall bear all costs the Accountant may reasonably incur in connection with any calculations contemplated hereunder.  The Accountants shall provide their calculations, together with detailed supporting documentation, to the Company and you within thirty (30) calendar days after the date on which the Accountants have been engaged to make such determinations or such other time as requested by the Company or you.  Any good faith determinations of the Accountants made hereunder shall be final, binding and conclusive upon the Company and you. </font></div><div style="line-height:120%;padding-bottom:16px;text-align:justify;text-indent:96px;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">(b)</font><font style="font-family:inherit;font-size:10pt;">&#160;&#160;&#160;&#160;</font><font style="font-family:inherit;font-size:11pt;font-weight:bold;">Company&#8217;s Securities Tradable; Best Results Reduction.</font><font style="font-family:inherit;font-size:11pt;">&#32;&#32;In the event the Company&#8217;s securities are Tradable, if any parachute payments will be subject to the excise taxes under Section 4999 of the Code, then the parachute payments will be payable to you either in full or in such lesser amounts as would result, after taking into account the applicable federal, state and local income taxes and the excise tax imposed by Section 4999, on your receipt on an after-tax basis of the greatest amount of payments and other benefits, by reducing payments in the following order: first a pro rata reduction of (i) cash payments subject to Section 409A of the Code as deferred compensation and (ii)&#160;cash payments not subject to Section 409A of the Code, and second a pro rata cancellation of (i)&#160;equity award compensation subject to Section 409A of the Code as deferred compensation and (ii)&#160;equity award compensation not subject to Section 409A of the Code (the &#8220;</font><font style="font-family:inherit;font-size:11pt;font-style:italic;font-weight:bold;">Best Results Reduction</font><font style="font-family:inherit;font-size:11pt;">&#8221;).
