On March 9, 2016, Avino Silver & Gold Mines Ltd. (the "Company") entered into a Placement Agency Agreement ("Placement Agreement") with Noble International Investments, Inc., doing business as Noble Financial Capital Markets, as exclusive placement agent (the "Placement Agent"), in connection with the proposed sale to an institutional investor (the "Direct Offering") of 800,000 Common Shares, no par value per share, of the Company ("Shares") pursuant to a Subscription Agreement dated as of March 9, 2016 (the "Subscription Agreement"), entered into by and between the Company and the signatory thereto. The Shares will be at a purchase price of $1.00 per share. The net proceeds to the Company, after deducting expenses payable by the Company, will be approximately $699,000. The net proceeds from the Direct Offering will be used for advancing the development of the Avino mine and its operations and production, continued development at the Bralorne mine and for general working capital. The Company expects to close the Direct Offering on or about March 14, 2016.

 

The Direct Offering is being made pursuant to a prospectus filed with the Company's existing shelf registration statement on Form F-3 (File No. 333-195144), which was filed with the Securities and Exchange Commission (the "Commission") on April 9, 2014 and declared effective by the Commission on April 16, 2014, and the prospectus supplement dated March 9, 2016.

 

The Placement Agent Agreement contains customary representations, warranties and agreements by the Company, and customary conditions to closing, indemnification obligations of the Company and the Placement Agent, including liabilities under the Securities Act of 1933, as amended, other obligations of the parties and termination provisions. Under the terms of the Placement Agreement, the Placement Agent, as agent of the Company, used commercially reasonable efforts to solicit offers from potential investors in connection with the Direct Offering and will receive a placement fee equal to 7% of the gross proceeds of the Direct Offeringplus a three-year warrant to purchase a number of Common Shares equal to 5% of the number of Shares sold in the Direct Offering at an exercise price equal to $1.00 per share. The Placement Agreement has been attached hereto as an exhibit to provide investors and security holders with the information regarding its terms. The representations, warranties and covenants contained in the Placement Agreement were made only for purposes of such agreement as of specific dates, were solely for the benefit of the parties to such agreement, and may be subject to limitations agreed upon by the contracting parties.

 

The Subscription Agreement contains customary representations, warranties and agreements by the Company and the investor signatories thereto, including closing conditions and termination provisions.

 

A copy of the opinion of Salley Bowes Harwardt Law Corporation relating to the legality of the issuance and sale of the Shares in the Direct Offering is attached as Exhibit 5.1 hereto. A copy of the Placement Agency Agreement and the form of Subscription Agreement used in connection with the Offering and the form of Placement Agent Warrant are filed herewith as Exhibits 10.1, 10.2 and 10.3 respectively, and are incorporated herein by reference. The foregoing descriptions of the Direct Offering by the Company and the documentation related thereto, including the Placement Agency Agreement, the form of the Subscription Agreement and the form of Placement Agent Warrant do not purport to be complete and are qualified in their entirety by reference to such Exhibits.
