Item 5.02 Departure of Directors or Certain Officers:  Election of Directors;  Appointment of Certain Officers;  Compensatory Arrangements of Certain Officers.

(a)

Effective December 31, 2005 F. Christopher Harvey resigned as a full-time employee, Technical Director and Secretary of the Company – but has continued as a Director of the Company.

(b)

Effective September 30, 2006 James Johnstone retired as a full-time employee and Chief Operating Officer of the Company – but has continued as a Director of the Company.

(c)

Effective May 31, 2007 Ian Forrest resigned as a Director of the Company.

(d)

Effective January 1, 2005 Steven William Edward Poad ceased to hold the offices of Vice-President, Finance and Administration and Controller.
