</FONT></TD></TR></TABLE> <P STYLE="margin-top:12px;margin-bottom:0px"><FONT STYLE="font-family:Times New Roman" SIZE="2">On February&nbsp;6, 2013, Bradley I. Meier notified the Board of Directors (&#147;Board&#148;) of Universal Insurance Holdings,
Inc. (&#147;Company&#148;) that he will resign as Chairman, President and Chief Executive Officer of the Company to pursue other opportunities outside the residential homeowners insurance industry. Mr.&nbsp;Meier&#146;s resignation will be effective
as of February&nbsp;22, 2013. There was no disagreement or dispute between Mr.&nbsp;Meier and the Company which led to his decision to resign. </FONT></P>
<P STYLE="margin-top:12px;margin-bottom:0px"><FONT STYLE="font-family:Times New Roman" SIZE="2">Mr.&nbsp;Meier and the Company entered into a Founder and Adviser Agreement, effective as of February&nbsp;22, 2013 (&#147;Adviser Agreement&#148;). The
Adviser Agreement replaces Mr.&nbsp;Meier&#146;s prior employment agreement with the Company and provides that Mr.&nbsp;Meier shall continue to serve as an employee of the Company to provide advisory and consulting services to the successor chief
executive officer and the Board and its committees. Among other things, Mr.&nbsp;Meier&#146;s duties include providing financial consulting services to the Investment Committee and assistance in connection with the negotiation and implementation of
the Company&#146;s annual reinsurance program arrangements. Mr.&nbsp;Meier will not perform any policy-making function for the Company and will not seek or have access to material nonpublic information about the Company not otherwise known to him as
of the effective date of the Adviser Agreement. Mr.&nbsp;Meier and the Company have also stipulated that Mr.&nbsp;Meier&#146;s level of services will be approximately 20% or less than his level of services performed as President and Chief Executive
Officer. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px"><FONT STYLE="font-family:Times New Roman" SIZE="2">The Adviser Agreement shall be effective through December&nbsp;31, 2015, unless earlier terminated in accordance with its terms.
Mr.&nbsp;Meier may resign and terminate the Adviser Agreement upon 60 days prior written notice to the Board. In the event the Company terminates the Adviser Agreement prior to expiration of the term, the Company shall continue to make all payments
due to Mr.&nbsp;Meier thereunder for the remainder of the term, provided that the Company shall not be required to make such payments in the event of a termination by the Company for cause or Mr.&nbsp;Meier&#146;s voluntary termination or death.
</FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px"><FONT STYLE="font-family:Times New Roman" SIZE="2">During the term, Mr.&nbsp;Meier shall be paid an annual base salary of $575,000 and shall receive health and welfare benefits, an automobile
allowance, a mobile phone allowance and reimbursement for travel and related expenses. Mr.&nbsp;Meier will also receive payment of his accrued vacation time in two installments in accordance with his prior employment agreement, but will not accrue
any additional vacation time under the Adviser Agreement. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px"><FONT STYLE="font-family:Times New Roman" SIZE="2">The Adviser Agreement includes confidentiality, non-competition, non-solicitation
and non-disparagement provisions and other customary terms and includes undertakings by the Company to facilitate the resale of Company common stock owned by Mr.&nbsp;Meier. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px"><FONT
STYLE="font-family:Times New Roman" SIZE="2">The preceding summary of the Adviser Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the Adviser Agreement, which is attached as Exhibit 10.1
hereto and is incorporated herein by reference. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px"><FONT STYLE="font-family:Times New Roman" SIZE="2">It is expected that Sean P. Downes will become President and Chief Executive Officer of the
Company. Mr.&nbsp;Downes, age 43, has been the Company&#146;s Senior Vice President, Chief Operating Officer and a director since January 2005, and Chief Operating Officer and a director of Universal Property&nbsp;&amp; Casualty Insurance Company, a
wholly owned subsidiary of the Company, since July 2003. Mr.&nbsp;Downes was Chief Operating Officer of Universal Adjusting Corporation, a wholly owned subsidiary of the Company, from July 1999 to July 2003. During that time Mr.&nbsp;Downes created
the Company&#146;s claims operation. Before joining the Company in July 1999, Mr.&nbsp;Downes was Vice President of Downes and Associates, a multi-line insurance adjustment corporation. </FONT></P>

STYLE="font-family:Times New Roman" SIZE="2">Dear Brad, </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px"><FONT STYLE="font-family:Times New Roman" SIZE="2">This letter agreement (this &#147;<U>Agreement</U>&#148;) sets forth our
understanding concerning your resignation as President and Chief Executive Officer of Universal Insurance Holdings, Inc. (the &#147;<U>Company</U>&#148;) and the continuation of your employment with the Company as Founder and Adviser. This Agreement
supersedes and replaces in its entirety the Employment Agreement, dated August&nbsp;11, 1999, as amended (the &#147;<U>Prior Agreement</U>&#148;), between you and the Company. </FONT></P>

<TD ALIGN="left" VALIGN="top"><FONT STYLE="font-family:Times New Roman" SIZE="2"><U>Term and Title</U>. You will resign from all your current officer positions with the Company and its subsidiaries and affiliates, effective at the close of business
on February&nbsp;22, 2013 (the &#147;<U>Effective Date</U>&#148;) and you will resign as a member of the Board of Directors of the Company (the &#147;<U>Board</U>&#148;) on the Effective Date. From the Effective Date through December&nbsp;31, 2015
(the &#147;<U>Term</U>&#148;), you shall continue as an employee of the Company with the title of Founder and Adviser to the successor Chief Executive Officer (the &#147;<U>Successor CEO</U>&#148;) of the Company, the Board and any committee of the
Board, as applicable. You may resign as Founder and Adviser on not less than 60 days&#146; prior written notice to the Board, in which case this Agreement shall terminate as of the effective date of such resignation. In the event of such
resignation, except for the rights set forth in Section&nbsp;8, the Company will have no further payment or benefit obligations to you under the Agreement in respect of the periods following such resignation. In the event the Company terminates the
Agreement prior to the end of the Term (other than with respect to the termination of your employment (i)&nbsp;by the Company by reason of your willful misconduct or gross negligence in connection with the performance of your duties described in
Section&nbsp;3, or failure to perform your duties described in Section&nbsp;3, in each case, which continues for a 30-day period after written notice to you specifying the cause situation, or (ii)&nbsp;by reason of your death (collectively, the
&#147;<U>No Payment Events</U>&#148;)), the Company shall continue to make payments as provided and honor all obligations under this Agreement for the remainder of the Term. If your employment is terminated by the Company in a No Payment Event,
other than the rights set forth in Section&nbsp;8, the Company will have no further payment or benefit obligations to you under the Agreement in respect of the periods following such No Payment Event. </FONT></TD></TR></TABLE>

manner as reasonably requested by the Successor CEO or the Board. During the Term, unless the Board otherwise consents in advance in writing, you will not participate in any outside business activity that in the reasonable good faith judgment of the
Board will either interfere with or be a conflict of interest with, the performance of your duties, activities and employment pursuant to this Agreement (it being understood that you will be given an opportunity to discuss with the Board any
decision by the Board that an activity interferes with or presents a conflict of interest hereunder). The level of bona fide services to be performed by you to the Company will be approximately 20% or less than the average level of bona fide
services performed during the 36 months of employment prior to the Effective Date. For the avoidance of doubt, we agree that you will not perform any policy-making function for the Company or otherwise be deemed to be an &#147;officer&#148; or
&#147;executive officer&#148; of the Company for purposes of the federal securities laws. During the Term, you will not seek, and the Company will take reasonable precautions to assure that you are not provided with and do not have access to, any
material, non-public information about the Company not otherwise known to you as of the Effective Date. It is further agreed that you will not be subject to the window periods and pre-clearance procedures set forth in the Company&#146;s insider
trading policy and guidelines, and except as provided in Section&nbsp;8 below, the Company will not advise you as to the existence of any black-out periods thereunder. </FONT></P> <P STYLE="font-size:6px;margin-top:0px;margin-bottom:0px">&nbsp;</P>
