<TD ALIGN="left" VALIGN="top"><FONT FACE="Times New Roman" SIZE="2"><B><U>Amendments to Articles of Incorporation or Bylaws; Changes in Fiscal Year. </U></B></FONT></TD></TR></TABLE> <P STYLE="margin-top:6px;margin-bottom:0px; text-indent:4%"><FONT
FACE="Times New Roman" SIZE="2">On February&nbsp;25, 2009, the Board of Directors of Mid Penn Bancorp, Inc. (the &#147;Corporation&#148;) adopted an amendment to its Articles of Incorporation that adds a new Article 13 which permits the Corporation
to issue uncertificated shares. The amendment was adopted in order to comply with NASDAQ Rule 4350(l) which requires NASDAQ listed issuers to be eligible to participate in a Direct Registration System (DRS). The amendment was effective upon the
filing of Articles of Amendment with the Pennsylvania Department of State, which occurred on February&nbsp;26, 2009. The foregoing description of the amendment is qualified in its entirety by reference to the full text of the amendment attached
hereto as Exhibit 3.1 and incorporated herein by reference. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">Also on February&nbsp;25, 2009, the Board of Directors of the Corporation
adopted amendments to the Company&#146;s By-laws. These amendments are described below: </FONT></P> <P STYLE="margin-top:6px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><U>New By-Law Related to Proposals at Annual
Meetings of Shareholders</U>. A new Section&nbsp;2.6 was adopted that provides that proposals may be brought before the annual meeting of shareholders only by, or at the direction of, the Board of Directors or by any shareholder who complies with
the requirements for shareholder proposals. The requirements include: For shareholder proposals to be included in the Corporation&#146;s proxy materials, the shareholder must comply with all the timing and informational requirements of Rule 14a-8 of
the Securities Exchange Act of 1934, as amended, or any successor regulation. With respect to shareholder proposals to be considered at the annual meeting of shareholders but not included in the Corporation&#146;s proxy materials, the shareholder
notice shall be delivered to, or mailed and received at, the principal executive offices of the Corporation not later than 120 days prior to the anniversary date of the initial proxy materials or of a notice of the meeting by the Corporation in
connection with the immediately preceding annual meeting of shareholders. Such shareholder&#146;s notice shall set forth as to each matter the shareholder proposes to bring before the annual meeting (1)&nbsp;a description of the proposal desired to
be brought before the annual meeting and the reasons for conducting such business at the annual meeting, (2)&nbsp;the name and address, as they appear on the Corporation&#146;s books, of the shareholder proposing such business (the &#147;Proposing
Shareholder&#148;) and, to the extent known, any other shareholders known by the Proposing Shareholder to be supporting such proposal, (3)&nbsp;the class and number of shares of the Corporation&#146;s stock which are beneficially owned by the
Proposing Shareholder, by any person who is a member of any group with such shareholder with respect to the Corporation&#146;s stock or who is known by the Proposing Shareholder to be supporting such proposal on the date the notice is given to the
Corporation, and by each person who is in control of, is controlled by or is under common control with any of the foregoing, (4)&nbsp;the identification of any person retained or to be compensated by the Proposing Shareholder, or any person acting
on his or her behalf, to make solicitations or recommendations to shareholders for the purpose of assisting in the passage of such proposal and a brief description of the terms of such employment, retainer or arrangement for compensation, and
(5)&nbsp;any material interest of the Proposing Shareholder in such business. The Board of Directors may reject any shareholder proposal not timely made in accordance with Section&nbsp;2.6. </FONT></P>

 <P STYLE="margin-top:0px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><U>Method of Acting at a Shareholder Meeting</U>. A provision in Section&nbsp;4.2 of the By-Laws on
action at a shareholders meeting that specified a voice vote as the normal method of shareholder action was deleted and replaced with a statement that, except as otherwise provided by statute, the Articles of Incorporation or the By-Laws, whenever
any corporate action is to be taken by vote of the shareholders at a duly organized meeting of the shareholders, it shall be authorized upon receiving the affirmative vote of a majority of the votes cast by all shareholders entitled to vote thereon,
and, if shareholders are entitled to vote thereon as a class, upon receiving the affirmative vote of a majority of the votes cast by the shareholders entitled to vote as a class thereon<B>. </B> </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><U>Provisions on Shareholder Nomination of Directors</U>. Section&nbsp;10.1 of the By-Laws on shareholder nomination of directors was revised to require
that a shareholder notify the Secretary of the Corporation of an intent to nominate a candidate for election to the Board in writing not less than the earlier of (1)&nbsp;120 days prior to the anniversary date of the initial proxy materials or of a
notice of the meeting by the Corporation in connection with the immediately preceding annual meeting of shareholders, or (2)&nbsp;the deadline for submitting shareholder proposals for inclusion in a proxy statement and form of proxy as calculated
under Rule 14a-8(e) promulgated by the Securities and Exchange Commission under the Exchange Act or any successor provision thereto. Prior to amendment, Section&nbsp;10.1 required notification not less than 60 days prior to the date of any meeting
of shareholders called for the election of directors. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><U>Proper Cause for Director Removal by the Board</U>. Section&nbsp;10.4 of the
By-Laws addressing removal of a director by the Board was amended to specify that proper cause for removal of a director by the Board includes a determination by the Board of Directors that a director has breached the director&#146;s fiduciary duty.
Prior to the amendment, section 4.6 provided that a director could be removed by the Board of Directors for a proper cause specified in the By-Laws but did not specify what would constitute proper cause. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><U>Director Emeritus Attendance at Board Meetings</U>. Section&nbsp;10.7 of the By-Laws on Directors Emeritus was amended to clarify that attendance of a
Director Emeritus at meetings of the Board is at the invitation of the Board of Directors. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><U>Director Meeting Provisions</U>. Sections
14.2 of the By-Laws on the frequency of regular meetings of the Board was amended to provide that the Board shall meet at least quarterly and Section&nbsp;14.3 was amended to provide that notice to a director of a meeting of the Board of Directors
may also be by e-mail or other electronic notice. Prior to the amendment, Section&nbsp;14.2 provided for regular meetings of the Board at least semi-annually and Section&nbsp;14.3 did not address e-mail or other electronic notices. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2"><U>Officers Compensation</U>. Section&nbsp;17.2 of the By-Laws on compensation of officers was amended to provide that the compensation of the President
shall be fixed by the Board of Directors and the compensation of other officers subordinate to the President shall be fixed by the President and approved by the Compensation Committee of the Board of Directors, subject to ratification by the full
Board of Directors. Prior to the amendment, Section&nbsp;17.2 provided that the compensation of all officers was fixed by the Board. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman"
SIZE="2"><U>Indemnification Provisions</U>. A lengthy Article 24 of the By-Laws including provisions related to indemnification of directors, officers and others was replaced with a simplified Article 24 </FONT>

prior Article 24, also provides that indemnification pursuant to the By-Laws is not exclusive of any other indemnification right and that the Corporation may purchase insurance to cover claims regardless of whether the claim may be indemnified under

twenty percent (20%)&nbsp;of the votes which all shareholders are entitled to cast at a particular meeting. At any time, upon written request of any person who has called a special meeting, it shall be the duty of the Secretary to fix the time of
the meeting which, if the meeting is called pursuant to a statutory right, shall be held not more than sixty (60)&nbsp;days after the receipt of the request. If the Secretary neglects or refuses to fix the time of the meeting, the person or persons
calling the meeting may do so. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">Section&nbsp;2.4 Written notice of all shareholder meetings (other than adjourned meetings of

and only such proposals shall be acted upon, as shall have been brought before the annual meeting by, or at the direction of, (1)&nbsp;the Board of Directors or (2)&nbsp;any shareholder who complies with all the requirements set forth in this
Section&nbsp;2.6 </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:8%"><FONT FACE="Times New Roman" SIZE="2">(b) Proposals, other than those made by or at the direction of the Board of Directors, shall be made pursuant to timely
notice in writing to the Secretary as set forth in this Section&nbsp;2.6. For shareholder proposals to be included in the Corporation&#146;s proxy materials, the shareholder must comply with all the timing and informational requirements of Rule
14a-8 of the Securities Exchange Act of 1934, as amended (&#147;Exchange Act&#148;), or any successor regulation. With respect to shareholder proposals to be considered at the annual meeting of shareholders but not included in the Corporation&#146;s
proxy materials, the shareholder notice shall be delivered to, or mailed and received at, the principal executive offices of the Corporation not later than 120 days prior to the anniversary date of the initial proxy materials or of a notice of the
meeting by the Corporation in connection with the immediately preceding annual meeting of shareholders. Such shareholder&#146;s notice shall set forth as to each matter the shareholder proposes to bring before the annual meeting (1)&nbsp;a
description of the proposal desired to be brought before the annual meeting and the reasons for conducting such business at the annual meeting, (2)&nbsp;the name and address, as they appear on the Corporation&#146;s books, of the shareholder
proposing such business (the &#147;Proposing Shareholder&#148;) and, to the extent known, any other shareholders known by the Proposing Shareholder to be supporting such proposal, (3)&nbsp;the class and number of shares of the Corporation&#146;s
stock which are beneficially owned by the Proposing Shareholder, by any person who is a member of any group with such shareholder with respect to the Corporation&#146;s stock or who is known by the Proposing Shareholder to be supporting such
proposal on the date the notice is given to the Corporation, and by each person who is in control of, is controlled by or is under common control with any of the foregoing, (4)&nbsp;the identification of any person retained or to be compensated by
the Proposing Shareholder, or any person acting on his or her behalf, to make solicitations or recommendations to shareholders for the purpose of assisting in the passage of such proposal and a brief description of the terms of such employment,

unrevoked proxy shall be valid after eleven (11)&nbsp;months from the date of its execution, unless a longer time is expressly provided therein, but in no event shall a proxy, unless coupled with an interest, be voted after three years from the date

shareholders, or the date fixed for the payment of any dividend or distribution, or the date for the allotment of rights, or the date when any change or conversion or exchange of shares will be made or go into effect, as a record date for the
determination of the shareholders entitled to notice of, and to vote at, any such meeting, or entitled to receive payment of any such dividend or distribution, or to receive any such allotment of rights, or to exercise the rights in respect to any
such change, conversion or exchange of shares. In such case, only such shareholders as shall be shareholders of record on the date so fixed shall be entitled to notice of, or to vote at, such meeting or to receive payment of such dividend or
distribution or to receive such allotment of rights or to exercise such rights, as the case may be, notwithstanding any transfer of any shares on the transfer books for shares of the Corporation after any record date fixed as aforesaid. The Board of
Directors may close the books of the Corporation against transfers of shares during the whole or any part of such period, and in such case written or printed notice thereof shall be mailed at least ten (10)&nbsp;days before closing thereof to each
shareholder of record at the address appearing on the records of the Corporation or supplied by such shareholder to the Corporation for the purpose of notice. While the stock transfer books of the Corporation are closed, no transfer of shares shall
be made thereon. If no record date is fixed by the Board of Directors for the determination of shareholders entitled to receive notice of, and vote at, a shareholders meeting, transferees of shares which are transferred on the books of the

the presiding officer of the meeting may, and on the request of any shareholder, or such shareholder&#146;s proxy, appoint judges of election at the meeting. The number of judges shall be one or three. If appointed at a meeting on the request of one

(3)&nbsp;Class C directors to serve until the 1995 annual meeting of shareholders. Each class shall be elected in a separate election. At each annual meeting of shareholders thereafter, successors to the class of directors whose term shall then
expire shall be elected to hold office for a term of three (3)&nbsp;years, so that the term of office of one class of directors shall expire in each year. The Board of Directors shall have the sole discretion to increase the number of Directors that
shall constitute the whole Board of Directors; provided however, that the total number of Directors in each class remains relatively proportionate to the others. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT
FACE="Times New Roman" SIZE="2">Section&nbsp;10.4 The Board of Directors may declare vacant the office of a director who has been judicially declared of unsound mind or who has been convicted of an offense punishable by imprisonment for a term of
more than one year or for any other proper cause which these By-laws may specify or if, within sixty (60)&nbsp;days or such other time as these By-laws may specify after notice of such director&#146;s selection, he does not accept the office either

FACE="Times New Roman" SIZE="2"><B>OFFICERS </B></FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">Section&nbsp;17.1 The officers of the Corporation shall be elected by the Board of
Directors at its organizational meeting and shall be a Chairman of the Board, a President, at least one Vice President, a Secretary and Treasurer. The Board of Directors may elect more than one Vice President and such other officers and appoint such
agents as it shall deem necessary, who shall hold their offices for such terms, have such authority and perform such duties as may from time to time be prescribed by the Board of Directors. Any two or more of offices may be held by the same person.
</FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">Section&nbsp;17.2 The compensation of the President of the Corporation shall be fixed by the Board of Directors. The compensation of other
officers subordinate to the President shall be fixed by the President and approved by the Compensation Committee of the Board of Directors, subject to ratification by the full Board of Directors. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">Section&nbsp;17.3 Each officer shall hold office for a term of one year and until such officer&#146;s successor has been selected and qualified or until
such officer&#146;s earlier death, resignation or removal. Any officer may resign at any time upon written notice to the Corporation. The resignation shall be effective upon receipt thereof by the Corporation or at such subsequent time as may be
specified in the notice of resignation. The Corporation may secure the fidelity of any or all of the officers by bond or otherwise. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman"
SIZE="2">Section&nbsp;17.4 Any officer or agent of the Corporation may be removed by the Board of Directors with or without cause. The removal shall be without prejudice to the contract rights, if any, of any person so removed. Election or
appointment of an officer or agent shall not of itself create contract rights. If the office of any officer becomes vacant for any reason, the vacancy may be filled by the Board of Directors. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">Section&nbsp;17.5 An officer shall perform such officer&#146;s duties as an officer in good faith, in a manner such officer reasonably believes to be in

shall have and exercise all powers conferred by these By-laws or otherwise on the Chairman of the Board. The Vice-Chairman or, if more than one, the Vice Chairmen designated by the Board shall also have and may exercise such further powers and

Board of Directors are put into effect, subject however, to the right of the Board of Directors to delegate any specific powers, except such as may be by the statute exclusively conferred on the President, to any other officer or officers of the
Corporation. The President shall execute bonds, mortgages and other contracts requiring a seal under the seal of the Corporation, except where required or permitted by law to be otherwise signed and executed and except where the signing and
execution thereof shall be expressly delegated by the Board of Directors to some other officer or agent of the Corporation. The President shall also have and may exercise such further powers and duties as from time to time may be conferred upon or
assigned to the President by the Board of Directors. In the absence or incapacity of the Chairman of the Board and Vice Chairman of the Board, if any, the President shall preside at meetings of the shareholders and the directors. If there is no

and of the shareholders and keep accurate records thereof in one or more minute books kept for that purpose and shall perform the duties customarily performed by the secretary of a corporation and such other duties as may be assigned to the
secretary by the Board of Directors or the President. </FONT></P> <P STYLE="margin-top:24px;margin-bottom:0px" ALIGN="center"><FONT FACE="Times New Roman" SIZE="2"><B>Article 22 </B></FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px"

corporate funds and securities; shall keep full and accurate accounts of receipts and disbursements in books belonging to the Corporation and shall perform such other duties as may be assigned to the Treasurer by the Board of Directors or the
President. The Treasurer shall give bond in such sum and with such surety as the Board of Directors may from time to time direct. </FONT></P> <P STYLE="margin-top:24px;margin-bottom:0px" ALIGN="center"><FONT FACE="Times New Roman"
SIZE="2"><B>Article 23 </B></FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px" ALIGN="center"><FONT FACE="Times New Roman" SIZE="2"><B>ASSISTANT OFFICERS </B></FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT
FACE="Times New Roman" SIZE="2">Section&nbsp;23.1 Each assistant officer shall assist in the performance of the duties of the officer to whom such person is an assistant and shall perform such duties in the absence of the officer. Each assistant
officer shall perform such additional duties as may be assigned by the Board of Directors, the Chairman of the Board, the President or the officer to whom such person is an assistant. Such officers may be given such functional titles as the Board of

permitted by applicable law, the Corporation shall indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending, or completed action, suit, or proceeding, whether civil, criminal, administrative, or
investigative by reason of the fact that such person is or was a director, officer, employee, or agent of the Corporation, or is or was serving at the request of the Corporation as a director, officer, employee, or agent of another corporation,
partnership, joint venture, trust, or other enterprise (which shall include, without limitation, employee benefit plans), against expenses (including attorney&#146;s fees), amounts paid in settlement, judgments, and fines (including without
limitation, excise taxes related to employee benefit plans) actually and reasonably incurred by such person in connection with such action, suit, or proceeding; provided, however, that no indemnification shall be made in any case where the act or

(including attorneys&#146; fees) incurred in defending a civil or criminal action, suit, or proceeding shall be paid by the Corporation in advance of the final disposition of such action, suit, or proceeding upon receipt of an undertaking by or on
behalf of the director, officer, employee, or agent to repay such amount if it shall be ultimately determined that he is not entitled to be indemnified by the Corporation as authorized in this Article 24. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">Section&nbsp;24.3 (Nonexclusivity) The indemnification provided by this Article 24 shall not be deemed exclusive of any other right to which persons
seeking indemnification may be entitled under any agreement, vote of shareholders or disinterested directors, or otherwise, both as to actions in such persons&#146; official capacity and as to their actions in another capacity while holding office,
and shall continue as to a person who has ceased to be a director, officer, employee, or agent and shall inure to the benefit of the heirs, executors, and administrators of such person. </FONT></P> <P
STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT FACE="Times New Roman" SIZE="2">Section&nbsp;24.4 (Insurance) The Corporation may purchase and maintain insurance on behalf of any person who is or was a director, officer, employee, or
