Bancorp, Inc. (&#147;Mid Penn&#148;), the holding company for Mid Penn Bank, completed its acquisition of First Priority Financial Corp. (&#147;First Priority&#148;), the holding company for First Priority Bank, through the merger of First Priority
with and into Mid Penn (the &#147;Merger&#148;). The Merger was completed in accordance with the terms and conditions of the Agreement and Plan of Merger dated January&nbsp;16, 2018 between Mid Penn and First Priority (the &#147;Merger
Agreement&#148;). A copy of the press release announcing completion of the Merger is attached hereto as Exhibit 99.1 and is incorporated herein by reference. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Pursuant to the terms of the Merger Agreement, each share of First Priority common stock issued and outstanding as of July&nbsp;31, 2018 was
converted into the right to receive 0.3481 shares of Mid Penn common stock. Cash will be paid to First Priority shareholders in lieu of any fractional shares. As a result of the Merger, Mid Penn issued approximately 2,317,499 shares of Mid Penn
common stock. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">In connection with the Merger, the parties have caused First Priority Bank to merge with and into Mid Penn Bank, with Mid
Penn Bank the surviving institution. The former offices of First Priority Bank are now operating under the title &#147;First Priority Bank, a Division of Mid Penn Bank&#148;. </P>

July&nbsp;31, 2018, and in accordance with the Merger Agreement, David E. Sparks, Joel L. Frank, Alan P. Novak and Patrick M. Smith have been appointed to serve as directors of Mid Penn and Mid Penn Bank. Messrs. Frank, Novak and Smith were formerly
directors of First Priority and First Priority Bank, and Mr.&nbsp;Sparks was formerly Chairman and Chief Executive Officer of First Priority and Chairman of First Priority Bank. Pursuant to the Merger Agreement, Mid Penn agreed to nominate and
recommend the aforementioned individuals as is necessary to ensure that each such person shall have the opportunity to serve as a director of Mid Penn for at least one additional term of three years. The Merger Agreement requires that at least one
of the new directors be appointed to each committee of the Board. As of the date of this filing, such committee appointments have not yet been finalized. </P>

car, country club dues and life insurance premiums, each on the same terms as he previously enjoyed as Chief Executive Officer of First Priority. So long as Mr.&nbsp;Sparks is employed by Mid Penn Bank, he will not receive compensation for his
service on the boards of directors of Mid Penn and Mid Penn Bank. Upon Mr.&nbsp;Sparks&#146; retirement as a full-time employee of Mid Penn Bank, Mid Penn Bank may retain his services as a&nbsp;non-employee&nbsp;consultant (up to 60% of his
full-time schedule) at an hourly rate of not less than $200 per hour. If Mid Penn Bank notifies Mr.&nbsp;Sparks of its intention not to retain him as a&nbsp;non-employee&nbsp;consultant, or offers to retain him at less than 60% of his full-time
schedule and Mr.&nbsp;Sparks declines such role, then Mid Penn shall pay Mr.&nbsp;Sparks an amount equal to his then current annual base salary in a lump sum payment within twenty (20)&nbsp;days of his termination of employment. Additional

<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section&nbsp;1.&nbsp;<U>General Matters</U>. Each share of Designated Preferred Stock shall be identical in all respects to every other share
of Designated Preferred Stock. The Designated Preferred Stock shall be perpetual, subject to the provisions of Section&nbsp;5 of these Standard Provisions that form a part of the Certificate of Designations. The Designated Preferred Stock shall rank
equally with Parity Stock and shall rank senior to Junior Stock with respect to the payment of dividends and the distribution of assets in the event of any dissolution, liquidation or winding up of the Issuer.</P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section&nbsp;2.&nbsp;<U>Standard Definitions</U>. As used herein with respect to Designated Preferred Stock:</P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(a) &#147;<U>Applicable Dividend Rate</U>&#148; means 9%&nbsp;per annum.</P>

below) at a rate per annum equal to the Applicable Dividend Rate on (i)&nbsp;the Liquidation Amount per share of Designated Preferred Stock and (ii)&nbsp;the amount of accrued and unpaid dividends for any prior Dividend Period on such share of
Designated Preferred Stock, if any. Such dividends shall begin to accrue and be cumulative from the Original Issue Date, shall compound on each subsequent Dividend Payment Date (<I>i.e.</I>, no dividends shall accrue on other dividends unless and
until the first Dividend Payment Date for such other dividends has passed without such other dividends having been paid on such date) and shall be payable quarterly in arrears on each Dividend Payment Date, commencing with the first such Dividend
Payment Date to occur after the Original Issue Date. In the event that any Dividend Payment Date would otherwise fall on a day that is not a Business Day, the dividend payment due on that date will be postponed to the next day that is a Business Day
and no additional dividends will accrue as a result of that postponement. The period from and including any Dividend Payment Date to, but excluding, the next Dividend Payment Date is a &#147;<U>Dividend Period</U>&#148;, provided that the initial
Dividend Period shall be the period from and including the Original Issue Date to, but excluding, the next Dividend Payment Date.</P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Dividends that are payable on Designated Preferred Stock in respect of any Dividend Period shall be computed on the basis of a 360-day year
consisting of twelve 30-day months. The amount of dividends payable on Designated Preferred Stock on any date prior to the end of a Dividend Period, and for the initial Dividend Period, shall be computed on the basis of a 360-day year consisting of

Date</U>&#148;). Any such day that is a Dividend Record Date shall be a Dividend Record Date whether or not such day is a Business Day.</P>
