(the &ldquo;Company&rdquo;) approved an amendment to the 2019 long-term equity award of Gideon Wertheizer, the Chief Executive Officer of the Company, effective immediately.</p>

<p style="font-family:'Times New Roman', Times, serif;font-size:10pt;margin:0pt;text-align:left;text-indent:36pt;">The Committee believes that long-term equity awards, including restricted stock units (&ldquo;RSUs&rdquo;), are an important element of the compensation package for the Company&rsquo;s executive officers. The Committee recognizes that long-term equity awards provide an incentive for the Company&rsquo;s executive officers to maximize stockholder value because such equity awards are rewards for its executive officers only to the extent that stockholders also benefit. Since 2015, the Company&rsquo;s executive officers have been granted only RSUs in consideration of the dilutive effects of other forms of long-term equity awards such as stock options.</p>
