(&#8220;<B>Lakes</B>&#8221;) and Sartini Gaming, Inc. (&#8220;<B>Golden</B>&#8221;), which owns and operates Golden Gaming, LLC, announced the proposed merger (&#8220;<B>Merger</B>&#8221;) transaction pursuant to the Agreement and Plan of Merger, dated January 25, 2015 (&#8220;<B>Merger Agreement</B>&#8221;), among Lakes, Golden, LG Acquisition Corporation, and The Blake L. Sartini and Delise F. Sartini Family Trust.</FONT></P>

<P id=PARA58 style="TEXT-ALIGN: justify; MARGIN: 0pt; LINE-HEIGHT: 1.25"><FONT style="FONT-SIZE: 10pt; FONT-FAMILY: Times New Roman, Times, serif">One of the conditions to Golden&#8217;s obligation to close the Merger is that Lakes will have sold, contracted to sell or scheduled an auction to sell its corporate headquarters office building. On March 26, 2015, Lakes entered into a Purchase and Sale Agreement to sell its corporate headquarters office building at a price of approximately $4.7 million, less applicable fees and closing costs. Lakes currently estimates that it will incur a non-cash charge relating to the sale of its corporate headquarters office building in the range of approximately $0.3 million to $0.4 million.</FONT></P>

<P id=PARA60 style="TEXT-ALIGN: justify; MARGIN: 0pt; LINE-HEIGHT: 1.25"><FONT style="FONT-SIZE: 10pt; FONT-FAMILY: Times New Roman, Times, serif">On March 30, 2015, Lakes provided Retention Bonus and Severance Agreements (&#8220;Severance Agreements&#8221;) to 14 of its employees. These Severance Agreements are contingent upon closing of the Merger. Pursuant to these Severance Agreements, Lakes estimates that it will recognize an estimated charge of $2.8 million, representing cash payments and non-cash expenses related to stock vesting acceleration. All of the payments due under these agreements are anticipated to be paid within 30 days after closing of the Merger.</FONT></P>

Cope relating to their constructive discharge as a result of and effective upon the closing of the Merger. These potential payments are more fully described in Item 11.
