Note 6 – Long-Term Compensation Plan and Stock Based Compensation

Under the VASCO Data Security International, Inc. 2009 Equity Incentive Plan (“2009 Equity Incentive Plan”), we awarded 237 shares of restricted stock in the first quarter of 2017 consisting of 126 unissued shares subject to future performance criteria and 111 issued shares. The market value of the 111 issued restricted shares of $1,630 at the date of grant is being amortized over the vesting period of one year. The market value of the 126 unissued shares subject to performance criteria of $1,845 at the date of grant is being amortized over the respective vesting periods of one to four years.
