8-K indicating our intention to record a $100 million contingent liability, to be reflected in our fourth-quarter results and year-end financial statements, in connection with the appointment of a new chief executive officer and stemming from the
provisions of our employment agreement with Eugene M. Isenberg, who had served as Chief Executive Officer since 1987. Although he remained the Chairman of the Board of Directors, the change in status could have permitted Mr.&nbsp;Isenberg to
terminate the employment agreement due to constructive termination and receive a termination payment in the amount of $100 million, together with certain other benefits. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px; text-indent:4%"><FONT

STYLE="font-family:Times New Roman" SIZE="2"><B>AGREEMENT </B></FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px"><FONT STYLE="font-family:Times New Roman" SIZE="2">This Agreement (this &#147;Agreement&#148;) is made this 2nd day of February,
2012 by and between Eugene M. Isenberg (&#147;Executive&#148;), Nabors Industries Ltd. (&#147;Nabors Bermuda&#148;) and Nabors Industries, Inc. (&#147;Nabors Delaware&#148;). Nabors Bermuda and Nabors Delaware are collectively referred to herein as
&#147;the Company&#148;. This Agreement is made with the approval of the Boards of Directors of the Company. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px"><FONT STYLE="font-family:Times New Roman" SIZE="2">WHEREAS, the parties entered
into that certain Executive Employment Agreement effective as of April&nbsp;1, 2009 (as amended on June&nbsp;29, 2009 and December&nbsp;28, 2009, collectively, the &#147;Employment Agreement&#148;). In consideration of the terms, covenants and
conditions set forth in this Agreement, the sufficiency of which is hereby acknowledged, the parties agree as follows: </FONT></P> <P STYLE="font-size:6px;margin-top:0px;margin-bottom:0px">&nbsp;</P>

<TD ALIGN="left" VALIGN="top"><FONT STYLE="font-family:Times New Roman" SIZE="2"><U>Termination Date</U> &#150; Executive voluntarily resigns and terminates both his employment with the Company and the Employment Agreement at the close of business
on December&nbsp;31, 2011 (&#147;Termination Date&#148;). The Company accepts Executive&#146;s resignation and termination of the Employment Agreement effective on the Termination Date. However, Executive does not resign as a director or Chairman of
Nabors Bermuda. He shall remain as director and Chairman until the end of the current director&#146;s term in June 2012. Commencing at the end of the term, Executive shall be named by the Board of Directors of Nabors Bermuda as Chairman Emeritus for
a three-year term that shall be automatically extended for one year on each anniversary thereof until terminated by Executive or the Company. In that capacity he shall serve as a goodwill ambassador for the company and shall receive a cash payment
for his services at the same level as the outside directors of the Company. In the sole discretion of the Board of Directors of Nabors Bermuda, for serving as Chairman Emeritus and a goodwill ambassador, Executive may receive additional compensation

Delaware and which will bear interest at the guaranteed rate of 6%&nbsp;per annum compounded daily and will be distributed upon the death of Executive either to Executive&#146;s estate or to the trustees of Executive&#146;s revocable trust
(&#147;Termination Payment&#148;). Executive understands and agrees that the Termination Payment is not something to which Executive is otherwise entitled, but is solely in consideration of and in return for the settlement and waiver of rights,

STYLE="font-family:Times New Roman" SIZE="2"><B>Hamilton, Bermuda, February&nbsp;6, 2012 / PRNewswire&#151;FirstCall / Nabors Industries Ltd</B>. <B>(NYSE: NBR)</B> today announced that it has entered an agreement with Eugene Isenberg, its Chairman
and former CEO, pursuant to which Mr.&nbsp;Isenberg has voluntarily terminated his employment agreement, effective December&nbsp;31, 2011. Mr.&nbsp;Isenberg will continue as Chairman of the Board through his current term, which ends in June of this
year. At that time, he will retire as a director and become Chairman Emeritus. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px"><FONT STYLE="font-family:Times New Roman" SIZE="2">Mr.&nbsp;Isenberg receives no cash compensation in connection
with the termination and waives all claims he might have had against the Company in connection with his employment agreement, including any claim that the October&nbsp;28, 2011 appointment of a new chief executive officer constituted constructive
termination entitling him to a $100 million payment. He also forfeits the payment of approximately $7 million in his deferred bonus account. The Company is reviewing its previously announced plans to record a $100 million contingent liability in the
fourth quarter. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px"><FONT STYLE="font-family:Times New Roman" SIZE="2">In consideration of his agreement to the foregoing terms, upon his death, Mr.&nbsp;Isenberg&#146;s estate or trust will
receive a payment of $6.6 million, together with interest. Additionally, Mr.&nbsp;Isenberg will retain certain benefits currently contemplated in the employment agreement, such as continued participation in the Company&#146;s insurance and fringe
benefit programs, the cost of which is immaterial to the Company. </FONT></P> <P STYLE="margin-top:12px;margin-bottom:0px"><FONT STYLE="font-family:Times New Roman" SIZE="2">Mr.&nbsp;Isenberg commented, &#147;I am fortunate to have been very
successful in my career, and it has always been my intention to donate this money to charity. I ultimately concluded that everyone&#146;s interests, including the Company&#146;s and our shareholders&#146;, were best served by this new arrangement.
