<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">On October&nbsp;22, 2014, the Board of Directors of LSB Industries, Inc. (the &#147;Company&#148;) unanimously approved and adopted the
Company&#146;s Non-Employee Director Compensation and Stock Ownership Policy (the &#147;Policy&#148;), which was recommended by the Board&#146;s Compensation and Stock Option Committee and the Nominating and Corporate Governance Committee as a means
of further aligning the interests of the Company&#146;s non-employee directors with the interests of the Company&#146;s stockholders, promoting sound corporate governance, and building an ownership mentality among the non-employee directors of the
Company. The Policy is effective as of June&nbsp;5, 2014, and provides that annual compensation payable to non-employee directors will be based on the calendar year and will be as follows: </P>

Non-employee directors whose common stock ownership is less than such target ownership are encouraged to acquire $50,000 of common stock for each full year served, based on the market value of the common stock, until such target ownership is
attained. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">Effective January&nbsp;1, 2015, under the Policy each non-employee director may elect to receive all or any portion of such
director fees in shares of the Company&#146;s common stock pursuant to the Company&#146;s Outside Directors Stock Purchase Plan, effective June&nbsp;24, 1999 (the &#147;Equity Plan&#148;), and the terms of the Policy. Non-employee directors who have
not attained the target ownership described above are encouraged, but not required, to elect to receive at least $50,000 of the annual non-employee director fees in shares of the Company&#146;s common stock. As provided in the Equity Plan, the
number of shares issued in lieu of cash payment, if any, shall be calculated based upon the closing price of the Company&#146;s common stock on the New York Stock Exchange on the business day immediately preceding the date that the fee is due. As of
the date of this report, 280,000 shares are available for issuance under the Equity Plan. </P>

<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman" ALIGN="center">(Adopted October&nbsp;22, 2014) </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The Compensation and Stock Option Committee (the &#147;<U>Committee</U>&#148;) of the Board of Directors (the &#147;<U>Board</U>&#148;) of LSB
Industries, Inc. (the &#147;<U>Company</U>&#148;) is authorized by its charter to review and make recommendations to the Board with respect to the compensation of all non-employee directors, including any compensation under the Company&#146;s
equity-based plans. The Committee has recommended to the Board, and each of the Board and the Nominating and Corporate Governance Committee of the Board has approved and adopted, this Non-Employee Director Compensation and Stock Ownership Policy
(the &#147;<U>Policy</U>&#148;) for the purposes of further aligning the interests of the Company&#146;s non-employee directors with the interests of the Company&#146;s stockholders, promoting sound corporate governance, and building an ownership
mentality among the non-employee directors. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The cash and equity compensation described in this Policy shall be paid or be made, as
applicable, automatically and without further action of the Board or the Compensation Committee, subject to the terms hereof, to each member of the Board who is not an employee of the Company or any subsidiary of the Company (each, a
&#147;<U>Non-Employee Director</U>&#148;) who may be eligible to receive such cash or equity compensation. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">This Policy may be amended,
modified, or terminated by the Board at any time in its sole discretion. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">1. <U>Annual Compensation</U>. Effective as of June&nbsp;5, 2014, annual
compensation payable to Non-Employee Directors will be based on the 12-month period ending December&nbsp;31 each calendar year and will be payable as provided below (collectively, the &#147;Annual Compensation&#148;). </P>

Director fails to timely elect to receive shares of Common Stock in lieu of cash, the Non-Employee Director will be deemed to have elected to receive all of the Annual Compensation for that particular quarter in cash. <B>In addition, a Non-Employee
Director may elect to receive a portion of the Annual Compensation in shares of Common Stock only in compliance with the terms and restrictions set forth in the Company&#146;s Statement of Policy Concerning Business Conduct of LSB Industries, Inc.
and Subsidiaries &#150; Pre-Clearance and Blackout Procedures, dated November&nbsp;13, 2008, as amended from time to time (the &#147;Blackout Procedures&#148;). Any attempted election by a Non-Employee Director to receive any quarterly installment
of the Annual Compensation in shares of Common Stock shall automatically be null and void, if, as of the date of the attempted election, the Non-Employee Director would be prohibited under the Blackout Procedures from trading in the Company&#146;s

comply with the Securities Act of 1933, as amended, the requirements of the New York Stock Exchange or any other stock exchange or automated quotation system upon which the shares are then listed or quoted, any state securities laws applicable to
such, any transfer, any provisions of the Company&#146;s Certificate of Incorporation or Bylaws, or any other law, regulation, or binding contract to which the Company is a party. </TD></TR></TABLE>

such Shares. Cash payments will be made by wire transfer, certified check or bank check or personal check, in each case payable to the order of the Company; provided, however, that the Company will not be required to deliver certificates for Shares
with respect to which an Option is exercised until the Company has confirmed the receipt of good and valuable funds in payment of the purchase price thereof. Payments in the form of Shares (which will be valued at the Fair Market Value of a Share on

interest in the Option pursuant to the assignment. The terms applicable to the assigned portion shall be the same as those in effect for the Option immediately prior to such assignment and shall be set forth in such documents issued to the assignee
as the Board may deem appropriate. The Eligible Director may also designate one or more persons as the beneficiary or beneficiaries of the Eligible Director&#146;s outstanding Options under this Plan, and those Options will, in accordance with such
designation, automatically be transferred to such beneficiary or beneficiaries upon the Eligible Director&#146;s death while holding such Options. Such beneficiary or beneficiaries will take the transferred Options subject to all the terms and
