<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">On August 2, 2024, AA Mission
Acquisition Corp. (the &ldquo;Company&rdquo;) consummated its initial public offering (&ldquo;IPO&rdquo;) of 30,000,000 units (the &ldquo;Units&rdquo;).
Each Unit consists of one Class A ordinary share of the Company, par value $0.0001 per share (the &ldquo;Ordinary Shares&rdquo;), and
one-half of one redeemable warrant (the &ldquo;Warrants&rdquo;) with each whole warrant entitling the holder thereof to purchase one Ordinary
Share at a price of $11.50 per share. The Units were sold at a price of $10.00 per Unit, generating gross proceeds to the Company of $300,000,000
(the &ldquo;Public Proceeds&rdquo;). The Company also granted the underwriters a 45-day option to purchase up to an additional 4,500,000
Units to cover over-allotments, if any. Simultaneously with the closing of the IPO, pursuant to the private placement unit purchase agreement,
dated July 31, 2024, between the Company and AA Mission Acquisition Sponsor Holdco LLC, the Company completed the private sale of 759,000
units (the &ldquo;Private Placement Units&rdquo;) to the Sponsor at a purchase price of $10.00 per Private Placement Unit generating gross
proceeds to the Company of $7,590,000 (the &ldquo;Private Proceeds&rdquo; and together with the Public Proceeds, the &ldquo;Offering Proceeds&rdquo;).
The Private Placement Units are identical to the Units sold in the IPO.</P>

prepared to assume the Company will continue as a going concern. As discussed in Note 1 to the financial statement, the Company has no
revenue, has incurred and expects to continue to incur significant professional costs to remain as a publicly traded company, and expects
to incur significant transaction costs in the pursuit of the consummation of a business combination. The Company&rsquo;s cash and working
capital are not sufficient to complete its planned activities for one year from the issuance date of the financial statement. If the Company
is unable to complete a business combination within the combination period, the Company would proceed to commence a voluntary liquidation
and thereby a formal dissolution of the Company. These conditions raise substantial doubt about the Company&rsquo;s ability to continue
as a going concern. Management&rsquo;s evaluation of the events and conditions and management&rsquo;s plans regarding these matters are
also described in Note 1 to the financial statement. The financial statement does not include any adjustments that might result from the
outcome of this uncertainty. Our opinion is not modified with respect to that matter.</P>

(the &ldquo;Company&rdquo;) is a blank check company incorporated in the Cayman Islands on February 9, 2024. The Company was incorporated
for the purpose of effectuating a merger, shares exchange, asset acquisition, shares purchase, reorganization, or other similar business
combination with one or more businesses (the &ldquo;Business Combination&rdquo;).</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.25in">&nbsp;</P>

Company had not yet commenced operations. All activity for the period from February&nbsp;9, 2024 (inception) through August 2, 2024,
relates to the Company&rsquo;s formation and the initial public offering (the &ldquo;Initial Public Offering&rdquo;), which is described
below. The Company will not generate any operating revenues until after the completion of its initial Business Combination, at the earliest.
The Company will generate non-operating income in the form of interest income on cash and cash equivalents from the proceeds derived
from the Initial Public Offering. The Company has selected December&nbsp;31 as its fiscal year end.</P>

for the Company&rsquo;s Initial Public Offering was declared effective on July 31, 2024. On August 2, 2024, the Company consummated the
Initial Public Offering of 30,000,000 units (the &ldquo;Units&rdquo; and, with respect to the shares of Class A ordinary shares included
in the Units being offered, the &ldquo;Public Shares&rdquo;), at $10.00 per Unit, generating gross proceeds of $300,000,000 (see Note
3).</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.25in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.25in">Simultaneously with the consummation
of the IPO and the sale of the Units, the Company consummated the private placement (&ldquo;Private Placement&rdquo;) of 759,000 units
(the &ldquo;Initial Private Placement Units&rdquo;) to the Sponsor, at a price of $10.00 per Private Placement Unit, generating total
proceeds of $7,590,000 (see Note 4).</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.25in">Transaction costs amounted
to $12,834,758, consisting of $4,500,000 of cash underwriting fee, $7,500,000 of deferred underwriting fee (see additional discussion
in Note 6), and $834,758 of other offering costs.</P>

Public Offering and the Private Placement, $301,500,000 ($10.05 per Unit) of the net proceeds of the Initial Public Offering and certain
of the proceeds of the Private Placement were placed in a trust account (&ldquo;Trust Account&rdquo;) with Continental Stock Transfer&nbsp;&amp;
Trust Company acting as trustee and invested only in U.S. government treasury obligations, with a maturity of 185 days or less, or in
money market funds meeting certain conditions under Rule 2a-7 under the Investment Company Act which invest only in direct U.S. government
treasury obligations, until the earliest of (i) the completion of an initial business combination, (ii) the redemption of public shares
if the Company is unable to complete an initial business combination within the completion window, subject to applicable law, and&nbsp;(iii)
the redemption of public shares properly submitted in connection with a shareholder vote to amend the Company&rsquo;s amended and restated
memorandum and articles of association to modify the substance or timing of obligation to redeem 100% of public shares if the Company
has not consummated an initial business combination within the completion window or with respect to any other material provisions relating
to shareholders&rsquo; rights or pre-initial business combination activity. The proceeds deposited in the Trust Account could become subject
to the claims of creditors, if any, which could have priority over the claims of public shareholders.</P>

a Business Combination. There is no assurance that the Company will be able to complete a Business Combination successfully. The Company
must complete one or more initial Business Combinations with one or more operating businesses or assets with a fair market value equal
to at least 80% of the net assets held in the Trust Account (as defined below) (less any deferred underwriting commissions and taxes payable
on interest earned on the Trust Account) at the time of the signing a definitive agreement to enter a Business Combination. The Company
will only complete a Business Combination if the post-Business Combination company owns or acquires 50% or more of the outstanding voting

In accordance with U.S. Securities and Exchange Commission (&ldquo;SEC&rdquo;) and its guidance on redeemable equity instruments, which
has been codified in Financial Accounting Standards Board (&ldquo;FASB&rdquo;) Accounting Standards Codification (&ldquo;ASC&rdquo;) Topic
480, &ldquo;Distinguishing Liabilities from Equity&rdquo; (&ldquo;ASC 480&rdquo;), paragraph 10-S99, redemption provisions not solely
within the control of a company require ordinary shares subject to redemption to be classified outside of permanent equity. Accordingly,
all of the Public Shares were presented as temporary equity, outside of the shareholders&rsquo; deficit section of the Company&rsquo;s
balance sheet. Given that the Public Shares were issued with other freestanding instruments (i.e., public warrants), the initial carrying
value of Class A ordinary shares classified as temporary equity were the allocated proceeds determined in accordance with FASB ASC Topic
470-20, &ldquo;Debt with Conversion and Other Options.&rdquo; The resulting discount to the initial carrying value of temporary equity
was accreted upon closing the Initial Public Offering such that the carrying value equals the redemption value on such date. The accretion
or remeasurement is recognized as a reduction to retained earnings, or in absence of retained earnings, additional paid-in capital. Accretion
associated with the redeemable Class A ordinary shares is excluded from earnings per share as the redemption value approximates fair value.
The Public Shares are redeemable and were classified as such on the balance sheet until such date that a redemption event takes place.</P>

not to consummate any Business Combination unless the Company has net tangible assets of at least $5,000,001 upon such consummation in
order to avoid being subject to Rule 419 promulgated under the Securities Act. However, if the Company seeks to consummate an initial
Business Combination with a target business that imposes any type of working capital closing condition or requires us to have a minimum
amount of funds available from the Trust Account upon consummation of such initial Business Combination, its net tangible asset threshold
may limit the Company&rsquo;s ability to consummate such initial Business Combination (as the Company may be required to have a lesser
number of shares redeemed) and may force the Company to seek third party financing which may not be available on terms acceptable to the
Company or at all. As a result, the Company may not be able to consummate such initial Business Combination and the Company may not be
able to locate another suitable target within the applicable time period, if at all.</P>

elect to redeem their Public Shares irrespective of whether they vote for or against the proposed transaction. If the Company seeks shareholder
approval in connection with a Business Combination, the holders of the Founder Shares prior to this Initial Public Offering (the &ldquo;Initial
Shareholders&rdquo;) agreed to vote their Founder Shares (as defined in Note&nbsp;5) and any Public Shares purchased during or after the
Initial Public Offering in favor of a Business Combination. In addition, the Initial Shareholders agreed to waive their redemption rights
with respect to their Founder Shares and Public Shares in connection with the completion of a Business Combination. In addition, the Company
agreed not to enter into a definitive agreement regarding an initial Business Combination without the prior consent of the Sponsor.</P>

will agree to waive their liquidation rights with respect to the Founder Shares if the Company fails to complete a Business Combination
within the Combination Period. However, if the Initial Shareholders should acquire Public Shares in or after the Initial Public Offering,
they will be entitled to liquidating distributions from the Trust Account with respect to such Public Shares if the Company fails to complete
a Business Combination within the Combination Period. The underwriters agreed to waive their rights to their deferred underwriting commission
(see Note&nbsp;6) held in the Trust Account in the event the Company does not complete a Business Combination within in the Combination
Period and, in such event, such amounts will be included with the funds held in the Trust Account that will be available to fund the redemption
of the Company&rsquo;s Public Shares. In the event of such distribution, it is possible that the per share value of the residual assets
remaining available for distribution (including Trust Account assets) will be only $10.05 per share initially held in the Trust Account.
In order to protect the amounts held in the Trust Account, the Sponsor agreed that it will be liable to the Company if and to the extent
any claims by a third party for services rendered or products sold to the Company, or a prospective target business with which the Company
has entered into a written letter of intent, confidentiality or other similar agreement or business combination agreement, reduce the
amount of funds in the Trust Account to below the lesser of (i)&nbsp;$10.05 per Public Share and (ii)&nbsp;the actual amount per Public
Share held in the trust account as of the date of the liquidation of the Trust Account, if less than $10.05 per share due to reductions
in the value of the trust assets, less taxes payable, provided that such liability will not apply to any claims by a third party or prospective
target business who executed a waiver of any and all rights to the monies held in the Trust Account (whether or not such waiver is enforceable)
nor will it apply to any claims under the Company&rsquo;s indemnity of the underwriters of the Initial Public Offering against certain
liabilities, including liabilities under the Securities Act of 1933, as amended (the &ldquo;Securities Act&rdquo;). In the event that
an executed waiver is deemed to be unenforceable against a third party, the Sponsor will not be responsible to the extent of any liability
for such third-party&nbsp;claims. The Company will seek to reduce the possibility that the Sponsor will have to indemnify the Trust Account
due to claims of creditors by endeavoring to have vendors, service providers (except the Company&rsquo;s independent registered public

in accordance with Financial Accounting Standard Board&rsquo;s Accounting Standards Update (&ldquo;ASU&rdquo;) 2014-15, &ldquo;Disclosures
of Uncertainties about an Entity&rsquo;s Ability to Continue as a Going Concern,&rdquo; management has determined that these conditions
