Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

(b) Wabash National Corporation (the “Company”) was notified by John E. Kunz on February 13, 2022, that he has decided not to stand for re-election to the Board of Directors of the Company when his current term expires at the Company’s 2022 Annual Meeting of Stockholders, scheduled for May 11, 2022. Mr. Kunz’s decision not to stand for re-election does not involve any disagreement on any matter relating to the Company’s operations, policies, or practices.
