Officer</I></B> </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">On February&nbsp;26, 2015, Histogenics Corporation (the &#147;Company&#148;) and Nancy Lynch, M.D. entered into a Separation Agreement
(the &#147;Separation Agreement&#148;) in connection with the termination of Dr.&nbsp;Lynch&#146;s employment as the Company&#146;s Chief Medical Officer, which was effective January&nbsp;30, 2015. The Company filed a Current Report on Form 8-K with
the Securities and Exchange Commission on February&nbsp;2, 2015 to disclose Dr.&nbsp;Lynch&#146;s termination. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Pursuant to the Separation Agreement,
Dr.&nbsp;Lynch will receive the following severance benefits: (i)&nbsp;cash payment of her monthly base salary for 12 months (the &#147;Continuation Period&#148;) and (ii)&nbsp;payment of her monthly COBRA premiums until the earliest of (a)&nbsp;the
close of the Continuation Period, (b)&nbsp;the expiration of her continuation coverage under COBRA and (c)&nbsp;the date when Dr.&nbsp;Lynch is offered substantially equivalent health insurance coverage in connection with new employment or
self-employment. The Company also agreed to pay Dr.&nbsp;Lynch an aggregate of $140,169 for bonus and other payments. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">The foregoing description of the

<P STYLE="margin-top:0pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman" ALIGN="center"><B>INTELLECTUAL PROPERTY ASSIGNMENT AGREEMENT </B></P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">This Confidential Information and Intellectual Property Assignment Agreement (hereafter referred to as &#147;Agreement&#148;) dated as of
<B>September&nbsp;27, 2013</B> by and between HISTOGENICS CORPORATION (hereinafter referred to as the &#147;Company&#148;), a Delaware Corporation having a place of business at 830 Winter Street, Waltham, MA 02451, and <B>Nancy Lynch</B>
(hereinafter referred to as the &#147;Employee&#148;), a United States citizen/legal resident having a residence at 210 42nd Ave., San Mateo, CA 94403 </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The Company has requested that the Employee execute this Agreement, and the Employee has agreed to execute this Agreement as part of the terms
of Employee being hired, or continued employment of Employee, by the Company; </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The Company possesses certain Confidential Information, as
defined below in Section&nbsp;1.5 of this Agreement, that is confidential and proprietary to the Company; </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The Employee may receive or
come into possession of Confidential Information from time to time to carry out the Employee&#146;s duties under the direction of the Company; </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">In furtherance of the foregoing, and in consideration of employment of Employee by the Company, the Company and the Employee agree as follows:
</P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>1. <U>DEFINITIONS</U> </B></P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">For the
purposes of this Agreement, the following terms shall have the following meanings: </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>1.1</B> &#147;<B>Company</B>&#148; means HISTOGENICS CORPORATION,
its present or future subsidiaries, affiliates and any entity owned or controlled by or under common control, including any businesses that may be acquired or established after the execution of this Agreement and employment with the Company, and any
successor-in-interest thereto or assignee thereof. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>1.2</B> &#147;<B>Business of the Company</B>&#148; includes any services or products (including
both generic and specific products) used, made, sold, offered for sale, developed, commenced or planned to be sold by the Company at any time during the Employee&#146;s employment or used, made, sold, offered for sale, developed, commenced or
planned to be sold by the Company using Confidential Information, Intellectual Property or Work Product after termination of the Employee&#146;s employment either by the Employee or the Company. </P>

 <P STYLE="margin-top:0pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>1.3</B> &#147;<B>Person</B>&#148; and &#147;<B>Persons</B>&#148; mean all individuals, partnerships,
corporations, limited liability companies, firms, businesses, organizations and other entities. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>1.4</B> &#147;<B>Field of Research</B>&#148; means the
development of procedures and products related to<I> ex corpus</I>,<I> in situ</I>,<I> in vitro</I> or<I> in vivo</I> growth of cells or tissue for use in a mammalian body such as the human body, including, by way of example and without limitation,
methods of cartilage, ligament and tendon culture, autologous cultured cell technology, the biology of chondrocyte implantation, the applicability of such technology in the treatment of new indications and disease states, the development and
identification of new indications and usages for the Company&#146;s products and procedures, and any and all other procedures and products associated or used with<I> ex corpus</I> ,<I> in situ</I> ,<I> in vitro</I> or<I> in vivo</I> growth of cells
or tissue for use in a mammalian body. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>1.5</B> &#147;<B>Confidential Information</B>&#148; means: </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(a) All information, ideas, trade secrets and all other confidential and proprietary information of the Company, including without limitation
any and all information relating in any manner whatsoever to the Field of Research or the Business of the Company, financial information of the Company, the terms and formats of the Company&#146;s contracts and agreements, information pertaining to
the Company&#146;s methods of operation, processes, strategies and techniques, customer lists, customer information, and information relating to employees of the Company, including but not limited to employees&#146; identities, home and business
telephone and pager numbers, and addresses; </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(b) Provided that the information: (i)&nbsp;becomes known to Employee as a consequence of
Employee&#146;s employment with the Company, or was wrongfully obtained by Employee, regardless of whether the information became known to Employee during or after working hours, or whether the information came into the Company&#146;s possession
through the efforts of Employee or others; and (ii)&nbsp;is not readily available to the public; and </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(c) The definition of
&#147;Confidential Information&#148; is intended to have the broadest meaning as permitted by law and extends beyond the definition of &#147;trade secrets&#148; as set forth in the Uniform Trade Secrets Act. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>1.6</B> &#147;<B>Employee</B>&#148; means the individual signing this Agreement who is either currently employed by the Company or becoming an employee of
the Company concurrently with the execution of this Agreement. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>1.7</B> &#147;<B>Intellectual Property</B>&#148; means any and all ideas, Inventions,
know how, improvements, discoveries, techniques, processes, original works of authorship, trade secrets and other subject matter developed or made by the Employee (solely or jointly with others) that may be protected, at least in part, by one or
more of a patent, trademark, copyright, trade secret, trade dress or other legal protection in the United States or in any foreign country. </P>

 <P STYLE="margin-top:0pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>1.8</B> &#147;<B>Inventions</B>&#148; means any and all discoveries, concepts, ideas, whether patentable or
not patentable, including but not limited to processes, methods, formulae, software, techniques, algorithms, cells, tissues, organs, cell cultures, cell parts, organisms, natural or non-naturally occurring genetic materials such as DNA constructs,
products, such as proteins, antibodies and the like, that are derived from or produced using natural or non-naturally occurring genetic materials, as well as improvements thereof or know-how related thereto, concerning any present or prospective
activities of the Company with which the Employee becomes acquainted or gains knowledge of as a result of the Employee&#146;s employment by the Company. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>1.9</B> &#147;<B>Competing Organization</B>&#148; means any Person engaged in or about to become engaged in research on, development of, production,
marketing, selling of, or offering for sale a Competing Product. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>1.10</B> &#147;<B>Competing Product</B>&#148; means any product, process, good or
service of any Person other than the Company, in existence or under development, which competes, directly or indirectly, with a product, process, good or service on or with which the Employee has worked for the Company or about which the Employee
has Confidential Information. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>1.11</B> &#147;<B>Work Product</B>&#148; means designs, drawings, software, photographs, plans, records, improvements,
ideas and other subject matter relating thereto that is not considered by the Company to be Intellectual Property. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>2. <U>EMPLOYEE&#146;S
REPRESENTATIONS AND AGREEMENTS</U> </B></P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>2.1 <U>Confidential Information and Goodwill</U>:</B> Solely as a result of employment with the Company,
Employee will be given access to, become familiar with, and will acquire knowledge of the Company, its employees, operations, methods, sources of supply, financial information, the Field of Research, the Business of the Company and other
Confidential Information of the Company. The Confidential Information has been and will continue to be developed through the Company&#146;s investment of substantial time, effort and money. Employee recognizes that disclosure or use of Confidential
Information for any purpose to any third party or Competing Organization would be greatly prejudicial and detrimental to the Company and would cause the Company to suffer immediate and irreparable injury. Employee further recognizes that Employee is
in a position to unfairly convert or otherwise use the Company&#146;s business and goodwill for use by Employee and a Competing Organization to produce, make, have made, sell, offer for sale, or import a Competing Product, and that such conversion
or use would be greatly prejudicial to the Company, and would cause the Company to suffer immediate and irreparable injury. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>2.2 <U>Ownership of
Employee Work Product</U>:</B> The Company and Employee agree: </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(a) that the Company shall own in its entirety and have the entire right
to use, made, have made, sell, offer for sale or import without the payment to the Employee of any royalty or amount or the provision of any consideration to Employee, other than continued employment of the Employee by the Company, all Work Product

results of the performance by Employee of Employee&#146;s duties and responsibilities as an employee of the Company. Employee specifically agrees that any Work Product made or conceived by
Employee during the period of employment of Employee by the Company shall be delivered to and become the property of the Company; and </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(b)
that Employee is obligated to assign and will assign all right, title and interest in and to the Work Product to the Company, without the payment of any royalty or amount or the provision of any consideration to the Employee other than continued
employment by the Company. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>2.3 <U>Employee Intellectual Property</U>:</B> Employee agrees that with respect to Intellectual Property made or conceived
by the Employee, whether or not during the hour of Employee&#146;s engagement or with the use of assistance of any Company facility, material, or personnel, either solely or jointly with others during Employee&#146;s employment with the Company or
within one year after termination of such employment, without payment, royalty or any other consideration to the Employee other than Employee&#146;s wages or salary, therefore: </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(a) The Employee shall inform the Company promptly and fully of all such Intellectual Property by written reports, setting forth in detail the
procedures, steps, materials and the like employed and the results achieved. The Employee shall submit an invention disclosure report promptly after completion of any studies or research projects undertaken on the Company&#146;s behalf, or funded at
least in part by the Company, whether or not in the Employee&#146;s opinion or view a given project has resulted in any Invention; </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(b)
The Employee hereby transfers, assigns and agrees to assign to the Company, without any royalty, payment or consideration other than Employee&#146;s wages or salary which shall be considered full and adequate consideration, his or her entire right,
title and interest in and to all Intellectual Property and to applications for United States and foreign patent applications and patents granted thereon and to any trademarks, trade dress or copyrightable material related thereto; </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(c) The Employee agrees for himself or herself and his or her heirs, representatives, successors in interest, and assigns, upon request of the
Company, at all times to perform such acts, such as providing testimony in support of the Employee&#146;s inventorship and to execute and deliver promptly to the Company such papers, instruments and documents, without expense to him or her, as from
time to time may be necessary or useful in the Company&#146;s opinion to apply for, secure, maintain, enforce, reissue, extend or defend the Company&#146;s worldwide rights in any Intellectual Property so as to secure to the Company the full
benefits of the Intellectual Property and otherwise to carry into full force and effect the text and the assignment described above; </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(d)
The Employee warrants and represents to the Company that he or she is not subject to any agreement, government contract, government grant or university policy inconsistent with this Agreement. The Employee agrees not to conduct any research or other
work subject to this Agreement other than at the Company&#146;s facilities and further agrees not to use any such research facilities, materials or personnel of any university or other Person not rented, leased or otherwise hired by the Company in
connection with such work; and </P>

of Employee&#146;s employment relationship with the Company shall be considered a work made for hire, and rights therein shall be the exclusive property of the Company as author and owner of the copyright in and to such work. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>2.4 <U>Shop Rights</U>:</B> Notwithstanding any provision herein that may create greater rights, Employee acknowledges that the Company shall have the
royalty-free right to use in its business, and to make, have made, use, sell, offer for sale or import products, processes and services derived from or related to any Intellectual Property or Work Product that are made or conceived by the Employee
during his or her employment by the Company or with the use or assistance of the Company&#146;s facilities or funded, at least in part, with Company funds. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>3. <U>NON-DISCLOSURE OF CONFIDENTIAL INFORMATION</U>:</B> At no time, either during or after the termination of employment, shall Employee directly or
indirectly obtain, disclose, reveal or use for Employee or any Person or Competing Organization, or aid others in obtaining, disclosing, revealing or using any Confidential Information of the Company, other than as may be required in the performance
of duties for and as authorized by the Company. All Confidential Information is and shall remain the sole property of the Company. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>4. <U>NONDISCLOSURE
OF OTHER INFORMATION</U>:</B> The Company and Employee acknowledge and agree that: </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(a) Employee may be aware of certain other
confidential information of one or more third parties (the &#147;Third Party Confidential Information&#148;). </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(b) The Company and
Employee further acknowledge and agree that the Company has not requested that Employee disclose to the Company any Third Party Confidential Information and, in fact, the Company requires that Employee refrain at all times during the period of the
employment relationship between the Company and Employee from using, disclosing or revealing to the Company any Third Party Confidential Information. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(c) Employee agrees that at all times during the period of the employment relationship between Employee and the Company, Employee shall
refrain from using, disclosing or revealing to the Company any Third Party Confidential Information. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>5. <U>NON-SOLICITATION COVENANT</U>:</B> During
Employee&#146;s employment and for the one (1)&nbsp;year period following the termination thereof, Employee will not: </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(a) directly or
indirectly, on behalf of Employee or for any other Person (other than the Company), hire, entice, induce, encourage or solicit, or attempt to hire, entice, induce, encourage or solicit any employee to leave the Company&#146;s employ; or </P>
 <p STYLE="margin-top:0pt;margin-bottom:0pt ; font-size:8pt">&nbsp;</P> <P STYLE="margin-top:0pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman" ALIGN="center">5 </P>

 <P STYLE="margin-top:0pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(b) cause or attempt to cause any employee of the Company to become employed by any Person
associated with a Competing Organization or engaged in the Business of the Company; or </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(c) solicit or accept business, directly or
indirectly, related to product or services competitive with those of the Company, from any of the Company&#146;s customers with whom the Employee has contact within one (1)&nbsp;year prior to Employee&#146;s termination. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>6. <U>NON-COMPETE COVENANT</U>:</B> Employee agrees that for a period of one (1)&nbsp;year after termination of employment, Employee will not compete,
directly or indirectly, with the Company in the Field of Cartilage Regeneration and Repair. Competition includes, but is not limited to, the design, development, production, promotion, offering for sale or sale of product or services competitive
with those of the Company in the Field of Cartilage Regeneration and Repair. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>7. <U>RETURN OF COMPANY PROPERTY AND CONFIDENTIAL INFORMATION</U>:</B>
All records, files photo/videographic materials, customer lists, supplier lists, software, keys, equipment, credit cards or other tangible material, and all other documents, including but not limited to Confidential Information, relating to the
Business of the Company (collectively &#147;property&#148;) that Employee receives, acquires, produces or has access to during employment, are the exclusive property of the Company. Upon termination of Employee&#146;s employment, Employee shall
return to the Company all property and all Confidential Information of the Company and all copies thereof in Employee&#146;s possession or control regardless of how such property or Confidential Information is obtained or maintained. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>8. <U>REMEDIES FOR BREACH</U>:</B> Employee agrees that any breach of this Agreement by Employee will cause the Company to suffer immediate and irreparable
injury, for which there is no adequate remedy at law. In the event of a breach or threatened breach of any of the terms of the Agreement, the Company shall be entitled to seek and obtain enforcement of this Agreement in a court of competent
jurisdiction by means of a decree of specific performance, an injunction without posting a bond or the requirement of any other guarantee, and any other form of equitable relief. Employee consents to the entry of such an order. This provision is in
addition to and does not replace any other remedies the Company may have at law or in equity, including the right to receive monetary damages. Employee shall reimburse the Company for all reasonable attorneys&#146; fees and costs incurred by the
Company in enforcing this Agreement. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>9. <U>SURVIVAL; SEVERABILITY AND ENFORCEABILITY</U>:</B> This Agreement shall survive the termination of
Employee&#146;s employment with the Company. It is the intention of the parties that this Agreement shall be enforceable to the fullest extent allowed by law. This Agreement is devisable and separable so that if any provision shall be held to be
invalid, unlawful or enforceable, such holding shall not impair the remaining provisions. If any provision is held to be too broad or unreasonable in duration, scope or character of restriction to be enforced, such provision shall be amended or
modified (including &#147;blue pencilled&#148;) to the extent necessary to legally enforce such provision to the fullest extent permitted by law. This Agreement, including the rights and obligations hereunder including all rights of enforcement, may
be transferred and/or assigned to the Company. </P>

Employee acknowledges that he or she has been provided the opportunity by the Company to have this Agreement reviewed by an attorney or counsel of Employee&#146;s own choosing prior to signing this Agreement. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>11</B>. <B><U>APPLICABLE LAW</U>:</B> This Agreement shall be construed and governed for all purposes under the laws of the Commonwealth of Massachusetts
without regard to conflict of law principles. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>12. <U>ENTIRE AGREEMENT</U>:</B> This Agreement constitutes the entire understanding between the parties

<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman"><B>THIS INDEMNITY AGREEMENT</B> (this &#147;Agreement&#148;) dated as of January&nbsp;5, 2015, is made by and between Histogenics Corporation,
a Delaware corporation (the &#147;Company&#148;), and Nancy Lynch (&#147;Indemnitee&#148;). </P> <P STYLE="margin-top:24pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman" ALIGN="center"><B><U>RECITALS</U>: </B></P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">A.&nbsp;&nbsp;&nbsp;&nbsp;The Company desires to attract and retain the services of highly qualified individuals as directors, officers, employees and agents.
</P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">B.&nbsp;&nbsp;&nbsp;&nbsp;The Company&#146;s bylaws (the &#147;Bylaws&#148;) require that the Company indemnify its directors, and empowers the Company
to indemnify its officers, employees and agents, as authorized by the Delaware General Corporation Law, as amended (the &#147;Code&#148;), under which the Company is organized and such Bylaws expressly provide that the indemnification provided
therein is not exclusive and contemplates that the Company may enter into separate agreements with its directors, officers and other persons to set forth specific indemnification provisions. </P>

so long as Indemnitee is duly appointed or elected and qualified in accordance with the applicable provisions of the Bylaws or other applicable charter documents of such corporation, or until such time as Indemnitee tenders his or her resignation in
writing; provided, however, that nothing contained in this Agreement is intended as an employment agreement between Indemnitee and the Company or any of its subsidiaries or to create any right to continued employment of Indemnitee with the Company

or otherwise involved in any proceeding by or in the right of the Company to procure a judgment in its favor, against any and all expenses actually and reasonably incurred by Indemnitee in connection with the investigation, defense, settlement, or

shall indemnify Indemnitee against all expenses actually and reasonably incurred in connection with the investigation, defense or appeal of such proceeding. </P>

Agreement to indemnification by the Company for some or a portion of any expenses actually and reasonably incurred by Indemnitee in the investigation, defense, settlement or appeal of a proceeding, but is precluded by applicable law or the specific
terms of this Agreement to indemnification for the total amount thereof, the Company shall nevertheless indemnify Indemnitee for the portion thereof to which Indemnitee is entitled. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">6. <U>Advancement of Expenses</U>. To the extent not prohibited by law, the Company shall advance the expenses incurred by Indemnitee in
connection with any proceeding, and such advancement shall be made within twenty (20)&nbsp;days after the receipt by the Company of a statement or statements requesting such advances (which shall include invoices received by Indemnitee in connection
with such expenses but, in the case of invoices in connection with legal services, any references to legal work performed or to expenditures made that would cause Indemnitee to waive any privilege accorded by applicable law shall not be included
with the invoice) and upon request of the Company, an undertaking to repay the advancement of expenses if and to the extent that it is ultimately determined by a court of competent jurisdiction in a final judgment, not subject to appeal, that
Indemnitee is not entitled to be indemnified by the Company. Advances shall be unsecured, interest free and without regard to Indemnitee&#146;s ability to repay the expenses. Advances shall include any and all expenses actually and reasonably
incurred by Indemnitee pursuing an action to enforce Indemnitee&#146;s right to indemnification under this Agreement, or otherwise and this right of advancement, including expenses incurred preparing and forwarding statements to the Company to
support the advances claimed. Indemnitee acknowledges that the execution and delivery of this Agreement shall constitute an undertaking providing that Indemnitee shall, to the fullest extent required by law, repay the advance if and to the extent
that it is ultimately determined by a court of competent jurisdiction in a final judgment, not subject to appeal, that Indemnitee is not entitled to be indemnified by the Company. The right to advances under this Section shall continue until final
disposition of any proceeding, including any appeal therein. This Section&nbsp;6 shall not apply to any claim made by Indemnitee for which indemnity is excluded pursuant to Section&nbsp;10(b). </P>

for the purpose of enforcing Indemnitee&#146;s right to indemnification or advancement of expenses pursuant to this Agreement. In such an enforcement hearing or proceeding, the burden of proof shall be on the Company to prove by that indemnification
or advancement of expenses to Indemnitee is not required under this Agreement or permitted by applicable law. Any determination by the Company (including its Board of Directors, stockholders or independent counsel) that Indemnitee is not entitled to
indemnification hereunder, shall not be a defense by the Company to the action nor create any presumption that Indemnitee is not entitled to indemnification or advancement of expenses hereunder. </TD></TR></TABLE>

<TD ALIGN="left" VALIGN="top"><U>Indemnification of Certain Expenses</U>. The Company shall indemnify Indemnitee against all expenses incurred in connection with any hearing or proceeding under this Section&nbsp;7 unless the Company prevails in such
hearing or proceeding on the merits in all material respects. </TD></TR></TABLE> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">8. <U>Assumption of Defense</U>. In the event the Company
shall be requested by Indemnitee to pay the expenses of any proceeding, the Company, if appropriate, shall be entitled to assume the defense of such proceeding, or to participate to the extent permissible in such proceeding, with counsel reasonably
acceptable to Indemnitee. Upon assumption of the defense by the Company and the retention of such counsel by the Company, the Company shall not be liable to Indemnitee under this Agreement for any fees of counsel subsequently incurred by Indemnitee
with respect to the same proceeding, provided that Indemnitee shall have the right to employ separate counsel in such proceeding at Indemnitee&#146;s sole cost and expense. Notwithstanding the foregoing, if Indemnitee&#146;s counsel delivers a
written notice to the Company stating that such counsel has reasonably concluded that there may be a conflict of interest between the Company and Indemnitee in the conduct of any such defense or the Company shall not, in fact, have employed counsel
or otherwise actively pursued the defense of such proceeding within a reasonable time, then in any such event the fees and expenses of Indemnitee&#146;s counsel to defend such proceeding shall be subject to the indemnification and advancement of
expenses provisions of this Agreement. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">9. <U>Insurance</U>. To the extent that the Company maintains an insurance policy or policies
providing liability insurance for directors, officers, employees, or agents of the Company or of any subsidiary (&#147;D&amp;O Insurance&#148;), Indemnitee shall be covered by such policy or policies in accordance with its or their terms to the
maximum extent of the coverage available for any such director, officer, employee or agent under such policy or policies. If, at the time of the receipt of a notice of a claim pursuant to the terms hereof, the Company has D&amp;O Insurance in
effect, the Company shall give prompt notice of the commencement of such proceeding to the insurers in accordance with the procedures set forth in the respective policies. The Company shall thereafter take all necessary or desirable action to cause
such insurers to pay, on behalf of Indemnitee, all amounts payable as a result of such proceeding in accordance with the terms of such policies. </P>

to (i)&nbsp;remuneration paid to Indemnitee if it is determined by final judgment or other final adjudication that such remuneration was in violation of law (and, in this respect, both the Company and Indemnitee have been advised that the Securities
and Exchange Commission believes that indemnification for liabilities arising under the federal securities laws is against public policy and is, therefore, unenforceable and that claims for indemnification should be submitted to appropriate courts
for adjudication, as indicated in Section&nbsp;10(d) below); (ii)&nbsp;a final judgment rendered against Indemnitee for an accounting, disgorgement or repayment of profits made from the purchase or sale by Indemnitee of securities of the Company
against Indemnitee or in connection with a settlement by or on behalf of Indemnitee to the extent it is acknowledged by Indemnitee and the Company that such amount paid in settlement resulted from Indemnitee&#146;s conduct from which Indemnitee
received monetary personal profit pursuant to the provisions of Section&nbsp;16(b) of the Securities Exchange Act of 1934, as amended, or other provisions of any federal, state or local statute or rules and regulations thereunder; (iii)&nbsp;a final
judgment or other final adjudication that Indemnitee&#146;s conduct was in bad faith, knowingly fraudulent or deliberately dishonest or constituted willful misconduct (but only to the extent of such specific determination); or (iv)&nbsp;on account
of conduct that is established by a final judgment as constituting a breach of Indemnitee&#146;s duty of loyalty to the Company or resulting in any personal profit or advantage to which Indemnitee is not legally entitled. For purposes of the
foregoing sentence, a final judgment or other adjudication may be reached in either the underlying proceeding or action in connection with which indemnification is sought or a separate proceeding or action to establish rights and liabilities under

paragraph (h)&nbsp;of Item&nbsp;512 of Regulation S-K currently generally requires the Company to undertake in connection with any registration statement filed under the Act to submit the issue of the enforceability of Indemnitee&#146;s rights under
this Agreement in connection with any liability under the Act on public policy grounds to a court of appropriate jurisdiction and to be governed by any final adjudication of such issue. Indemnitee specifically agrees that any such undertaking shall

her corporate status prior to such amendment, alteration or repeal. To the extent that a change in the Code, whether by statute or judicial decision, permits greater indemnification or advancement of expenses than would be afforded currently under
the Company&#146;s Certificate of Incorporation, Bylaws and this Agreement, it is the intent of the parties hereto that Indemnitee shall enjoy by this Agreement the greater benefits so afforded by such change. No right or remedy herein conferred is
intended to be exclusive of any other right or remedy, and every other right and remedy shall be cumulative and in addition to every other right and remedy given hereunder or now or hereafter existing at law or in equity or otherwise. The assertion
or employment of any right or remedy hereunder, or otherwise, by Indemnitee shall not prevent the concurrent assertion or employment of any other right or remedy by Indemnitee. </TD></TR></TABLE>

(a)&nbsp;five (5)&nbsp;years after the date that Indemnitee shall have ceased to serve as a director or and/or officer, employee or agent of the Company; or (b)&nbsp;one (1)&nbsp;year after the final termination of any proceeding, including any
appeal then pending, in respect to which Indemnitee was granted rights of indemnification or advancement of expenses hereunder. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">No legal
action shall be brought and no cause of action shall be asserted by or in the right of the Company against an Indemnitee or an Indemnitee&#146;s estate, spouse, heirs, executors or personal or legal representatives after the expiration of five
(5)&nbsp;years from the date of accrual of such cause of action, and any claim or cause of action of the Company shall be extinguished and deemed released unless asserted by the timely filing of a legal action within such five-year period; provided,
however, that if any shorter period of limitations is otherwise applicable to such cause of action, such shorter period shall govern. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">13.
<U>Subrogation</U>. In the event of any payment under this Agreement, the Company shall be subrogated to the extent of such payment to all of the rights of recovery of Indemnitee, who, at the request and expense of the Company, shall execute all
papers required and shall do everything that may be reasonably necessary to secure such rights, including the execution of such documents necessary to enable the Company effectively to bring suit to enforce such rights. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">14. <U>Interpretation of Agreement</U>. It is understood that the parties hereto intend this Agreement to be interpreted and enforced so as to
provide indemnification to Indemnitee to the fullest extent now or hereafter permitted by law. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">15. <U>Severability</U>. If any provision
of this Agreement shall be held to be invalid, illegal or unenforceable for any reason whatsoever, (a)&nbsp;the validity, legality and enforceability of the remaining provisions of the Agreement (including without limitation, all portions of any
paragraphs of this Agreement containing any such provision held to be invalid, illegal or unenforceable, that are not themselves invalid, illegal or unenforceable) shall not in any way be affected or impaired thereby; and (b)&nbsp;to the fullest
extent possible, the provisions of this Agreement (including, without limitation, all portions of any paragraph of this Agreement containing any such provision held to be invalid, illegal or unenforceable, that are not themselves invalid, illegal or
unenforceable) shall be construed so as to give effect to the intent manifested by the provision held invalid, illegal or unenforceable and to give effect to Section&nbsp;14 hereof. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">16. <U>Amendment and Waiver</U>. No supplement, modification, amendment, or cancellation of this Agreement shall be binding unless executed in
writing by the parties hereto. No waiver of any of the provisions of this Agreement shall be deemed or shall constitute a waiver of any other provision hereof (whether or not similar) nor shall such waiver constitute a continuing waiver. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">17. <U>Notice</U>. Except as otherwise provided herein, any notice or demand which, by the provisions hereof, is required or which may be
given to or served upon the parties hereto shall be in writing and, if by telegram, telecopy or telex, shall be deemed to have been validly served, given or delivered when sent, if by overnight delivery, courier or personal delivery, shall be deemed
to have been validly served, given or delivered upon actual delivery and, if mailed, shall be deemed to have been validly served, given or delivered three (3)&nbsp;business days after deposit in </P>

Agreement (or such other address(es) as a party may designate for itself by like notice). If to the Company, notices and demands shall be delivered to the attention of the Secretary of the Company. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">18.<U> Governing Law</U>. This Agreement shall be governed exclusively by and construed according to the laws of the Commonwealth of
Massachusetts, as applied to contracts between Massachusetts residents entered into and to be performed entirely within Massachusetts. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">19. <U>Counterparts</U>. This Agreement may be executed in one or more counterparts, each of which shall for all purposes be deemed to be an
original but all of which together shall constitute but one and the same Agreement. Only one such counterpart need be produced to evidence the existence of this Agreement. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">20. <U>Headings</U>. The headings of the sections of this Agreement are inserted for convenience only and shall not be deemed to constitute
part of this Agreement or to affect the construction hereof. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">21. <U>Entire Agreement</U>. This Agreement constitutes the entire agreement
between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings and negotiations, written and oral, between the parties with respect to the subject matter of this Agreement; provided, however, that
this Agreement is a supplement to and in furtherance of the Company&#146;s Certificate of Incorporation, Bylaws, the Code and any other applicable law, and shall not be deemed a substitute therefor, and does not diminish or abrogate any rights of
Indemnitee thereunder. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">22. <U>Amendment and Restatement of Prior Agreement</U>. Upon the effectiveness of this Agreement, the Prior
Agreement shall be amended and restated in its entirety and be of no further force and effect, and shall be superseded and replaced in its entirety by this Agreement. </P>
