Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.</strong></font></p><p><font style="font-size: 10pt;"><p>&#160; &#160; &#160;(d) On June 7, 2017, the Board of Directors of 3D Systems Corporation (the &#8220;Company&#8221;) increased the size of the Board of Directors to eleven members and appointed John J. Tracy as a director of the Company.</p><p>&#160; &#160; &#160;Mr. Tracy, age 62, has more than 37 years of experience in the aerospace industry, most recently as Chief Technology Officer and Senior Vice President, Engineering, Operations and Technology at The Boeing Company. Dr. Tracy has strong leadership in technology, operations, quality and engineering from several aerospace companies, including Hercules Aerospace Company, McDonnell Douglas Corporation and The Boeing Company. From 2006 until 2016, he served as Chief Technology Officer and Senior Vice President, Engineering, Operations and Technology at The Boeing Company. Prior to that he served as Vice President, Engineering and Mission Assurance for Boeing Integrated Defense Systems and Vice President Structural Technologies, Prototyping and Quality of Phantom Works at Boeing, after serving in increasing roles at Hercules, McDonnell Douglas and The Boeing Company since 1979. Dr. Tracy brings specialized expertise in aircraft manufacturing, structure and materials.</p><p>&#160; &#160; &#160;Mr. Tracy has not been appointed to any committees of the Board of Directors, and no determination has been made as to any committees of the Board of Directors to which he may be appointed. There are no arrangements or understandings between Mr. Tracy and any other person pursuant to which he was elected as a director of the Company, and there is no information required to be disclosed with respect to Mr. Tracy pursuant to Item 404(a) of Regulation S-K. In connection with his election as a director, Mr. Tracy was granted 5,020 shares of common stock under the Company&#8217;s equity plans.</p><p>&#160; &#160; &#160;The Company issued a press release announcing the election of Mr. Tracy on June 8, 2017.
