On December 12, 2012, at the recommendation of our Compensation Committee (the "Committee"), our Board of Directors adopted a written plan which has formalized the Company's annual incentive cash bonus program, which has been in place since 2006.  In formalizing the program, the Committee named the plan the Annual Incentive Bonus Plan (the "Incentive Plan").  The Incentive Plan provides guidelines for the calculation of annual incentive based compensation in the form of cash or stock bonuses to our executives and key employees selected by the Committee from recommendations provided by our Chief Executive Officer.  The Plan is administered by the Committee and is subject to its oversight and modification.&#160;&#160;The bonuses awarded under the Incentive Plan are short-term awards in recognition of the overall performance and efforts made by participants in the plan during a particular year.  &#160;&#160;Each year, the Committee selects the group of executives and key employees eligible to participate in the Incentive Plan ("Participants") and establishes target award opportunities for such Participants.&#160;&#160; (the &#8220;Company&#8221;) Annual Incentive Bonus Plan (the &#8220;Plan&#8221;) is established to provide incentives to attract, retain, motivate and reward executive officers and other key employees who are responsible for providing leadership to the Company as it attains its significant business objectives. The purpose of the Plan is to align management&#8217;s efforts with the strategic goals of the Company through competitive annual incentive opportunities.</font></div><div style="line-height:120%;padding-top:13px;text-align:left;text-indent:30px;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">The Plan will be effective beginning with fiscal year 2012 and thereafter during such periods as the Company may from time to time grant bonus awards under it (each such performance period, whether or not coterminous with a fiscal year, is referred to as a &#8220;Plan Year&#8221;).&#160;Unless and until the Company&#8217;s Board of Directors determines otherwise, this Plan will be operated through a series of fiscal year-based Plan Years beginning at the start and ending on the last day of each Company fiscal year.  The Compensation Committee of the Board of Directors of the Company shall administer this Plan.</font></div><div style="line-height:120%;text-align:left;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">&#160;</font></div><div style="line-height:120%;text-align:left;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;font-weight:bold;">2.&#160;&#160;&#160;&#160;ELIGIBILITY AND PARTICIPATION</font></div><div style="line-height:120%;padding-top:5px;text-align:left;text-indent:30px;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">Prior to the beginning of each Plan Year, the Chief Executive Officer (CEO) shall consult with and make recommendations to the Committee, and the Committee shall select and approve the individuals who will be granted awards under the Plan from among the executive officers and other key employees (each such eligible individual, an &#8220;Employee&#8221;) of the Company and/or its subsidiaries (each selected Employee, a &#8220;Participant&#8221;).</font></div><div style="line-height:120%;padding-top:13px;text-align:left;text-indent:30px;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">The Committee, in consultation with the CEO, may add to or delete individuals from the list of designated Participants at any time and from time to time, in its sole discretion.</font></div><div style="line-height:120%;padding-top:13px;text-align:left;text-indent:30px;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">Notwithstanding that an Employee has been designated as a Participant in the Plan with respect to a Plan Year, and unless otherwise specified by the Committee or as otherwise specified in an employment agreement with the Employee, an Employee shall cease to be eligible to receive or be paid under Plan awards if he or she is not a regular full-time Employee as of both the first day of the Plan Year (which, for an Employee made a Participant after the start of the Plan Year, shall be treated as the date on which he or she was first designated as a Participant with respect to that Plan Year) and the last day of the Plan Year.</font></div><div style="line-height:120%;text-align:left;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">&#160;</font></div><div style="line-height:120%;text-align:left;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;font-weight:bold;">3.&#160;&#160;&#160;&#160;AWARD TERMS</font></div><div style="line-height:120%;text-align:left;text-indent:30px;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;"><br></font></div><div style="line-height:120%;padding-top:5px;text-align:left;text-indent:30px;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">Each Plan Year, the Committee, in its sole discretion, may establish in writing (including through minutes of a Committee meeting or a written consent evidencing action taken by the Committee), among other things: (i) the Employees selected as Participants, either by name or by position, (ii) any conditions and/or objectives and if applicable the target performance level associated therewith, that apply to an award with respect to the Plan Year, (iii) the target award for a Participant, and (iv) a payout formula or other method under which a Participant&#8217;s actual award will be determined. The Actual Award for each Participant, if any, shall be determined by applying the Payout Formula to the level of actual performance, or on such other basis, as the Committee in its sole discretion shall determine. (the "</font><font style="font-family:inherit;font-size:12pt;text-decoration:underline;">Company"</font><font style="font-family:inherit;font-size:12pt;">) shall pay each director who meets the criteria for each of (i)&#160;a&#160;&#8220;non-employee director,&#8221; as such term is used in Rule&#160;16b-3 under the Securities Exchange Act of 1934, as amended (the "</font><font style="font-family:inherit;font-size:12pt;text-decoration:underline;">Exchange Act"</font><font style="font-family:inherit;font-size:12pt;">), and (ii)&#160;&#8220;independent director,&#8221; as defined in the rules and regulations of the New York Stock Exchange (each, an "</font><font style="font-family:inherit;font-size:12pt;text-decoration:underline;">Independent Director"</font><font style="font-family:inherit;font-size:12pt;">), an amount of $25,000 for 2012 and $30,000 per annum thereafter until such amount is recommended for change by the Compensation Committee.  Such base compensation amounts are payable in four equal installments at the time of each quarterly meeting of the Board of Directors.</font></div><div style="line-height:120%;text-align:left;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">&#160;</font></div><div style="line-height:120%;text-align:left;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">2.&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;</font><font style="font-family:inherit;font-size:12pt;font-style:italic;font-weight:bold;">&#32;Committees</font><font style="font-family:inherit;font-size:12pt;">. The chairperson of the Audit Committee and the chairperson of the Compensation Committee shall receive additional annual compensation equal to 33% of their base quarterly cash fee.</font></div><div style="line-height:120%;text-align:left;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">&#160;</font></div><div style="line-height:120%;text-align:left;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">3.&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;</font><font style="font-family:inherit;font-size:12pt;font-style:italic;font-weight:bold;">&#32;Reimbursement of Travel and Other Expenses</font><font style="font-family:inherit;font-size:12pt;">. The Company shall promptly pay or reimburse each Independent Director for all ordinary and reasonable out-of-pocket expenses actually incurred (and, in the case of reimbursement, paid) by such Independent Director in connection with attending meetings of the Board and any committee thereof on which he serves; </font><font style="font-family:inherit;font-size:12pt;text-decoration:underline;">provided</font><font style="font-family:inherit;font-size:12pt;">&#32;that such Independent Director submits proof of such expenses, with all properly completed forms as prescribed from time to time by the Company, no later than 60 days after such expenses have been so incurred.</font></div><div style="line-height:120%;text-align:left;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">&#160;</font></div><div style="line-height:120%;text-align:left;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">4.&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;&#160;</font><font style="font-family:inherit;font-size:12pt;font-style:italic;font-weight:bold;">&#32;Restricted Stock Grants</font><font style="font-family:inherit;font-size:12pt;">. Each Independent Director shall receive an award of 2,500 shares of Restricted Stock (as defined in the Natural Gas Services Group, Inc. 2009 Restricted Stock/Unit Plan (the "</font><font style="font-family:inherit;font-size:12pt;text-decoration:underline;">Plan"</font><font style="font-family:inherit;font-size:12pt;">) under the Plan on the first day of each calendar year.  An Independent Director who joins the Company's Board during the year shall receive upon joining the Board a prorated number of restricted shares equal to the number of full months remaining in the calendar year including the month in which he or she joined the Board (for example, an Independent Director who joined the Board on March 15</font><font style="font-family:inherit;font-size:12pt;"><sup style="vertical-align:top;line-height:120%;font-size:8pt">th</sup></font><font style="font-family:inherit;font-size:12pt;">&#32;would be granted 2,084 restricted shares (2,500 x 10/12)).  Subject to such Independent Director&#8217;s continued service as an Independent Director, such Restricted Stock shall vest in quarterly installments beginning in the year following the year of grant, subject to acceleration under the Plan.&#160; Effective upon such Independent Director&#8217;s resignation (except by retirement) or removal from the Board, all unvested shares of Restricted Stock held by such Independent Director shall be forfeited.</font></div><div style="line-height:120%;text-align:left;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;"><br></font></div><div style="line-height:120%;text-align:left;font-size:12pt;"><font style="font-family:inherit;font-size:12pt;">5.&#160;&#160;&#160;&#160;</font><font style="font-family:inherit;font-size:12pt;font-style:italic;font-weight:bold;">Amendments</font><font style="font-family:inherit;font-size:12pt;">.
