<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">On July 2, 2025, Cohen Circle
Acquisition Corp. II (the &ldquo;<U>Company</U>&rdquo;) consummated the sale of 25,300,000 units (the &ldquo;Units&rdquo;) in its initial
public offering (the &ldquo;<U>IPO</U>&rdquo;), including the exercise in full by the underwriters of an option to purchase up to 3,300,000
Units at the offering price to cover over-allotments. The Units were sold at a price of $10.00 per Unit, generating gross proceeds to
the Company of $253,000,000. Each Unit consists of one Class A ordinary share of the Company, par value $0.0001 per share (the &ldquo;<U>Class
A Ordinary Shares</U>&rdquo;), and one-fourth of one redeemable warrant of the Company (each, a &ldquo;<U>Warrant</U>&rdquo;), with each
whole Warrant entitling the holder thereof to purchase one Class A Ordinary Share for $11.50 per share, subject to adjustment as provided
in the Company&rsquo;s registration statement on Form S-1, initially filed with the Securities and Exchange Commission on May 23, 2025
(File No. 333-287538).&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify; text-indent: 0.5in">On July 2, 2025, simultaneously
with the consummation of the IPO, the Company consummated the issuance and sale (&ldquo;<U>Private Placement</U>&rdquo;) of 720,000 Units
(the &ldquo;<U>Placement Units</U>&rdquo;) in a private placement transaction at a price of $10.00 per Placement Unit, generating gross
proceeds of $7,200,000. The Placement Units were purchased by Clear Street LLC, the sole book-running manager for the IPO (275,000 Units),
and one of the Company&rsquo;s sponsors, Cohen Circle Sponsor II, LLC (445,000 Units).</P>

the net proceeds from the IPO and the Private Placement (which includes $10,780,000 of the Underwriters&rsquo; deferred discount) were
placed in a trust account established for the benefit of the Company&rsquo;s public shareholders, with Continental Stock Transfer &amp;
Trust Company acting as trustee.</P>

Units being offered, the &ldquo;Public Shares&rdquo;), which includes the full exercise by the underwriters of their over-allotment option
in the amount of 3,300,000 Units, at $10.00 per Unit, generating gross proceeds of $253,000,000. Each Unit consists of one Class A ordinary
share and one-fourth of one redeemable warrant (each, a &ldquo;Public Warrant&rdquo;).</P>

of the Initial Public Offering, the Company consummated the sale of 720,000 units (the &ldquo;Placement Units&rdquo;) at a price of $10.00
per Placement Unit, in a private placement to the Company&rsquo;s sponsor, Cohen Circle Sponsor II, LLC, a Delaware limited liability
company (together with Cohen Circle Advisors II, LLC, collectively the &ldquo;Sponsor&rdquo;), and Clear Street LLC (&ldquo;Clear Street&rdquo;),
the representative of the underwriters, generating gross proceeds of $7,200,000. Each Placement Unit consists of one Class A ordinary
share (&ldquo;Placement Share&rdquo; or, collectively, &ldquo;Placement Shares&rdquo;) and one-fourth of one redeemable warrant (the &ldquo;Placement
Warrants&rdquo; and together with the Public Warrants, the &ldquo;Warrants&rdquo;). Of those 720,000 Placement Units, the Sponsor purchased
445,000 Placement Units, and Clear Street purchased 275,000 Placement Units.</P>

has broad discretion with respect to the specific application of the net proceeds of the Initial Public Offering and the sale of Placement
Units, although substantially all of the net proceeds are intended to be applied generally toward consummating a Business Combination.
There is no assurance that the Company will be able to complete a Business Combination successfully. The Company must complete one or
more initial Business Combinations with one or more operating businesses or assets with a fair market value equal to at least 80% of the
net assets held in the Trust Account (as defined below) (excluding the deferred underwriting commissions and taxes payable on the interest
earned on the Trust Account). The Company will only complete a Business Combination if the post-transaction company owns or acquires 50%

tax jurisdiction. The Company recognizes accrued interest and penalties related to unrecognized tax benefits as income tax expense. As
of July 2, 2025, there were no unrecognized tax benefits and no amounts accrued for interest and penalties. The Company is currently not
aware of any issues under review that could result in significant payments, accruals or material deviation from its position.</P>

of segment profit or loss. The ASU requires that a public entity disclose the title and position of the CODM and an explanation of how

Public entities will be required to provide all annual disclosures currently required by Topic&nbsp;280 in interim periods, and entities
with a single reportable segment are required to provide all the disclosures required by the amendments in this ASU and existing segment
disclosures in Topic&nbsp;280. This ASU is effective for fiscal&nbsp;years beginning after December&nbsp;15, 2023, and interim periods

will be entitled to make up to three demands, excluding short form registration demands, that the Company register such securities for
sale under the Securities Act. In addition, these holders will have piggyback registration rights to include such securities in other
registration statements filed by the Company and rights to require the Company to register for resale such securities pursuant to Rule&nbsp;415
under the Securities Act. However, the registration rights agreement provides that the Company will not permit any registration statement
filed under the Securities Act to become effective until termination of the applicable lock-up period. The registration rights agreement

regularly evaluated by the Company&rsquo;s CODM, or group, in deciding how to allocate resources and assess performance.</P>
