KREATE GROUP PLC: NOTIFICATION PURSUANT TO CHAPTER 9, SECTION 10 OF THE
SECURITIES MARKETS ACT
Kreate Group Plc ("Kreate") has today on 24 February 2021 received a
notification in accordance with Chapter 9, Section 10 of the Finnish Securities
Market Act from Intera Partners Oy ("Intera"), according to which Intera's
indirect holding through financial instruments fell below the threshold of 5
percent and the total position through indirect holdings of shares and votes and
through financial instruments fell below the threshold of 15 percent today on 24
February 2021.
The change was due to a share lending agreement signed by Intera Fund II Ky ("
Intera Fund"), a partnership ultimately controlled by Intera, and Danske Bank
A/S, Finland branch ("Danske Bank") in connection with the Initial Public
Offering of Kreate on 19 February 2021, according to which Intera Fund has on 19
February 2021 lent 632,437 shares in Kreate to Danske Bank. Danske Bank has
fully exercised the over-allotment option described in Kreate's offering
circular dated 5 February 2021. Danske Bank has purchased 632,437 shares in
Kreate from Intera Fund in accordance with the over-allotment option. As a
result, Intera's indirect holding through financial instruments has decreased to
zero, i.e. below the threshold of 5 percent, and the total position through
indirect holdings of shares and votes and through financial instruments has
fallen below the threshold of 15 percent.
