The Board has determined that each of Messrs. Davis and Falzone is an independent director under the applicable Nasdaq rules.  Following their appointment and the recent death of Mr. Frykman, the Board currently consists of seven directors, six of whom are independent directors.  If Sidus&#8217; two nominees are elected to the Board, any of their proposals that wins the support of at least two independent directors will pass.  The same would have been the case when the Board consisted of six directors.
