Note 9. Commitments and Contingencies

Operating Leases

The Company leases its office facilities, located in Concord, California and Amersfoort, the Netherlands, and certain equipment and automobiles under non-cancelable operating leases with initial terms in excess of one year that require the Company to pay operating costs, property taxes, insurance and maintenance. The operating leases expire at various dates through 2030, with certain of the leases providing for renewal options, provisions for adjusting future lease payments based on the consumer price index, and the right to terminate the lease early. The Company’s leased facilities qualify as operating leases and as such, are not included on its consolidated balance sheets.

Rent expense for office facilities was $1.0 million, $1.0 million and $0.8 million for the years ended December 31, 2018, 2017 and 2016, respectively.

 

 Purchase Commitments

The Company is party to agreements with certain providers for certain components of the INTERCEPT Blood System. Certain of these agreements require minimum purchase commitments from the Company. The Company has paid $10.0 million, $6.7 million and $6.9 million for goods under agreements which are subject to minimum purchase commitments during the years ended December 31, 2018, 2017 and 2016, respectively. As of December 31, 2018, the Company had future minimum purchase commitments under these agreements of approximately $13.1 million, $3.2 million, $2.5 million, $2.6 million, and $0.1 million for the years ending December 31, 2019, 2020, 2021, 2022, and 2023, respectively.
