Cuxhaven, 18 June 2015 - The Annual General Meeting of PNE WIND AG was held
at the Cuxhaven Events Centre (Kugelbake-Halle) on 16 June 2015. As part of
the agenda, the General Meeting was - among other items - to decide on
whether certain Supervisory Board members should be recalled.
During the shareholders meeting, the management board presented a full
update on company operations - including the recently concluded UK
transaction. Recently, PNE WIND AG sold its entire UK wind project pipeline
for up to approx. £103 million to international investors of which £40.3
million has already been paid to PNE WIND AG. In the pursuing discussion,
some shareholders were critical of the level of remuneration of the
Supervisory and Management Board. Furthermore, the proposals supported by
the Management and the proposals by the Volker Friedrichsen Beteiligungs
GmbH in connection to the composition of the Supervisory Board were
actively discussed by the shareholders. Extensive speeches and procedural
motions by shareholders led to an unusually long duration of the meeting -
although a limitation was placed on the speaking time allowed beginning at
18:00 clock. Despite attempts by the Chairman of the meeting to announce
the results of the voting and to finish the Annual General Meeting, the
voting results could not be announced before midnight to shareholders.
Allegations that PNE WIND deliberately delayed the meeting beyond midnight
are baseless.
After the Annual General Meeting, two policemen arrived in the
Kugelbake-Halle and sealed the room where the votes were tabulated and
collected some documents. To the company's knowledge, there are no
investigations against PNE WIND AG, its bodies (Supervisory Board and
Management Board) or its employees. PNE WIND AG is cooperating with the
Police in this matter and none of these activities took place within the
headquarters of PNE WIND AG.
A date for a new shareholders' meeting has not yet been determined. The
company intends to set a time for the meeting as soon as possible.
