approval.&#160; The 2009 Incentive Plan
provides for the grant of incentive stock options, non-statutory stock options,
stock appreciation rights, restricted stock, restricted stock units, dividend
equivalent rights, performance awards, stock awards and other stock-based
awards (collectively &#147;Awards&#148;).&#160; The
Company&#146;s Compensation Committee of the Board of Directors has authority and
discretion to determine the type of Award as well as the amount, terms and
conditions of each Award under the 2009 Incentive Plan, subject to the
limitations of the 2009 Incentive Plan.</font></p>

The Company hereby grants Employee the option (the &#147;<i>Option</i>&#148;) to purchase all or any part of an
aggregate of &nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;
shares (the &#147;<i>Shares</i>&#148;) of Common
Stock of the Company at the exercise price of
$&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; per share according to the
terms and conditions set forth in this Agreement and in the Nature&#146;s Sunshine
Products,&nbsp;Inc. 2009 Stock Incentive Plan (the &#147;<i>Plan</i>&#148;).&#160; The Option
will not be treated as an incentive stock option within the meaning of Section&nbsp;422
of the Internal Revenue Code of 1986, as amended (the &#147;<i>Code</i>&#148;).&#160;
The Option is issued under the Plan and is subject to its terms and
conditions.&#160; A copy of the Plan will be
furnished upon request of Employee.</font></p>
