Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(a)     Resignation of Director

On July 28, 2023, Timberland Bancorp, Inc. (NASDAQ: TSBK) (“Timberland” or “the Company”), the holding company for Timberland Bank (the “Bank”), received a retirement announcement from Director Michael R. Sand.  Mr. Sand’s retirement is effective as of the close of business on July 31, 2023. Mr. Sand has served as a director of the Bank since 1993 and of the Company since it was formed in 1997.  At the time of his retirement, Mr. Sand was a member of the Company’s Budget Committee and Loan Committee.

Mr. Sand’s letter in connection with his retirement did not indicate that his retirement was in connection with any disagreement with the Company pertaining to the Company’s operations, policies or practices.  The Company expressed its appreciation for the 45 years of dedicated service and leadership as an executive officer and board member that Mike provided and wishes him the best during his retirement.

Item 8.01 Other Events

On July 28, 2023, Michael J. Stoney was elected Chairman of the Boards of the Company and the Bank by each of the respective Board of Directors. Mr. Stoney has served on the Boards of Directors of the Company and the Bank since 2010.
